Third-Party Information; Privacy or Data Protection Laws. Each Party acknowledges that it and members of its Group may presently have and, following the Effective Time, may gain access to or possession of confidential or proprietary information of, or personal information relating to, Third Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or members of such Party’s Group, on the other hand, prior to the Effective Time; or (ii) that, as between the two Parties, was originally collected by the other Party or members of such Party’s Group and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause the members of its Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information of, or personal information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s Group, on the one hand, and such Third Parties, on the other hand.

Each Subject to any Ancillary Agreement and any other agreement between the Parties or other members of their respective Groups, each Party agrees that it shall hold, protect and use, and shall cause the members of its respective Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information of, or personal information relating to, Third Parties in accordance with privacy policies and privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the any other Party or members of the any other Party’s Group, on the one hand, and such Third Parties, on the other hand.

Each Subject to the Data Sharing Addendum and any other Ancillary Agreement, each Party agrees that it shall hold, protect and use, and shall cause the members of its Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information of, or personal information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s Group, on the one hand, and such Third Parties, on the other hand.

Each Party of Purchaser and Manufacturer acknowledges that it and members of its Group respective Affiliates may presently have and, and following the Effective Time, Date may gain access to or possession of confidential or proprietary information of, or personal information relating to, Information of Third Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or members of such and/or the other Party’s GroupAffiliates, on the other hand, prior to the Effective TimeDate; or (ii) that, that as between the two Parties, Parties was originally collected by the other Party or members of such and/or the other Party’s Group Affiliates and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees Purchaser and Manufacturer each agrees, as or to the extent provided in this Agreement, that it shall hold, protect and use, and shall cause the members of its Group Affiliates and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information Information of, or personal information Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of and/or the other Party’s GroupAffiliates, on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Party acknowledges that it and members of its Group may presently have and, following the Effective Separation Time, may gain access to or possession of confidential or proprietary information of, or legally-protected personal information (including personal health information) relating to, Third Parties (i) that was received under privacy policies or notices or confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or members of such other Party’s Group, on the other hand, prior to the Effective Separation Time; or (ii) that, as between the two Parties, was originally collected by the other Party or members of such other Party’s Group and that may be subject to and protected by privacyprivacy policies or notices, as well as applicable data protection privacy Laws or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause the members of its Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information of, or legally-protected personal information (including personal health information) relating to, Third Parties in accordance with privacy, the obligations outlined in the applicable privacy policies or notices and applicable data protection privacy Laws or other applicable Laws and the terms of any agreements that were either entered into before the Effective Separation Time or affirmative commitments or representations that were made before the Effective Separation Time by, between or among the other Party or members of the other Party’s Group, on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Party acknowledges that it and members of its Group may presently have and, following the Effective Time, may gain access to or possession of confidential or proprietary information of, or personal information relating to, Third Parties Parties: (ia) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or members of such Party’s Group, on the other hand, prior to the Effective Time; or (iib) that, as between the two Parties, was originally collected by the other Party or members of such Party’s Group and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Subject to the Data Sharing Agreement and any other Ancillary Agreement, each Party agrees that it shall will hold, protect and use, and shall will cause the members of its Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information of, or personal information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s Group, on the one hand, and such Third Parties, on the other hand.

Each Party acknowledges that it and members of its Group Representatives may presently have and, following the Effective Time, may gain access to or possession of confidential or proprietary information Confidential Information of, or personal information relating to, Third Parties Parties: (ia) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or members of such Party’s Group, on the other hand, prior to the Effective Time; or (iib) that, as between the two Parties, was originally collected by the other Party or members of such Party’s Group and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees that it shall will hold, protect and use, and shall will cause the members of its Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information Confidential Information of, or personal information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s GroupRepresentatives, on the one hand, and such Third Parties, on the other hand.

Each Party agrees that it shall hold, protect and use, and shall cause the members of its Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information of, or legally protected personal information (including personal health information) relating to, Third Parties in accordance with privacy, the obligations outlined in the applicable privacy policies or notices and applicable data protection privacy Laws or other applicable Laws and the terms of any agreements that were either entered into before the Effective Separation Time or affirmative commitments or representations that were made before the Effective Separation Time by, between or among the other Party or members of the other Party’s Group, on the one hand, and such Third Parties, on the other hand.

Each Subject to the Ancillary Agreements, each Party agrees that it shall hold, protect and use, and shall cause the members of its Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information Group Information of, or personal information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s Group, on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Party acknowledges that it and members of its Group (as applicable) may presently have and, following the Effective Time, may gain access to or possession of confidential or proprietary information of, or personal information relating to, Third Parties (i) that was received under confidentiality or non-disclosure agreements Contracts entered into between such Third Parties, on the one hand, and the other Party or members of such Party’s GroupGroup (as applicable), on the other hand, prior to the Effective Time; or (ii) that, as between the two Parties, was originally collected by the other another Party or members of such Party’s Group (as applicable) and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause the members of its Group (as applicable) and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information of, or personal information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements Contracts that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of the other Party’s GroupGroup (as applicable), on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Party acknowledges that it and members of its such Party’s Group may presently have and, following the Distribution Effective Time, may gain access to or possession of confidential or proprietary information of, or personal information relating to, Third Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or members of such Party’s Group, on the other hand, prior to the Distribution Effective Time; , or (ii) that, as between the two Parties, was originally collected by the other Party or members of such Party’s Group and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees that it shall hold, protect and use, and shall cause the members of its such Party’s Group and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information of, or personal information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Distribution Effective Time or affirmative commitments or representations that were made before the Distribution Effective Time by, between or among the other Party or members of the other Party’s Group, on the one hand, and such Third Parties, on the other hand.

Third-Party Information; Privacy or Data Protection Laws. Each Party of Xxxxxx and AbbVie acknowledges that it and members of its Group respective Affiliates may presently have and, and following the Effective Time, Time may gain access to or possession of confidential or proprietary information Confidential Information of, or personal information relating to, Third Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or members of such the other Party’s GroupAffiliates, on the other hand, prior to the Effective Time; or (ii) that, that as between the two Parties, Parties was originally collected by the other Party or members of such the other Party’s Group Affiliates and that may be subject to and protected by privacy, data protection or other applicable Laws. Each To the extent provided in this Agreement, each Party agrees that it shall hold, protect and use, and shall cause the members of its Group Affiliates and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information Confidential Information of, or personal information Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before prior to the Effective Time Date or affirmative commitments or representations that were made before prior to the Effective Time Date by, between or among the other Party or members of the other Party’s GroupAffiliates, on the one hand, and such Third Parties, on the other hand.

Each Party of Purchaser and Packager acknowledges that it and members of its Group respective Affiliates may presently have and, and following the Effective Time, Date may gain access to or possession of confidential or proprietary information of, or personal information relating to, Information of Third Parties (i) that was received under confidentiality or non-disclosure agreements entered into between such Third Parties, on the one hand, and the other Party or members of such and/or the other Party’s GroupAffiliates, on the other hand, prior to the Effective TimeDate; or (ii) that, that as between the two Parties, Parties was originally collected by the other Party or members of such and/or the other Party’s Group Affiliates and that may be subject to and protected by privacy, data protection or other applicable Laws. Each Party agrees Purchaser and Packager each agrees, as or to the extent provided in this Agreement, that it shall hold, protect and use, and shall cause the members of its Group Affiliates and its and their respective Representatives to hold, protect and use, in strict confidence the confidential and proprietary information Information of, or personal information Information relating to, Third Parties in accordance with privacy, data protection or other applicable Laws and the terms of any agreements that were either entered into before the Effective Time or affirmative commitments or representations that were made before the Effective Time by, between or among the other Party or members of and/or the other Party’s GroupAffiliates, on the one hand, and such Third Parties, on the other hand.
