Third Party Authorizations. Without limiting the obligations of Contractor pursuant to any other clause in Exhibit A herein, Contractor shall, subject to the terms of any third-party agreements, procure at no charge to County any third-party authorizations necessary to grant County the use and benefit of any third-party agreements between Contractor and third-party contractors used to provide the Disentangled Services, pending their assignment to County. Similarly, at County’s direction, Contractor shall obtain all legally necessary client consents or authorizations legally necessary to transfer client data to County or any new service provider.
Third Party Authorizations. You will obtain and be solely responsible for all required authorizations, clearances, consents, licenses, and releases necessary for your use of the SAG Awards Clips, Recordings, Stills and/or SAG Awards Stills, including without limitation:
Third Party Authorizations. Operator shall ensure that it has authority to relocate or cause to be relocated all Improvements, including those installed by third parties on behalf of or for the benefit of Operator, within the Site.
Third Party Authorizations. Without limiting the obligations of ACS pursuant to Section 12.2 and subject to the terms of any Third Party contracts, if requested by Symetra as part of the Disentanglement, ACS shall procure at no charge to Symetra any Third Party authorizations necessary to grant Symetra the use and benefit of any Third Party contracts between ACS and Third Party contractors used to provide the Services, pending their assignment to Symetra pursuant to Section 10.3.4.
Third Party Authorizations. Sellers and the Company shall have received all Permits necessary to validly sell and assign the Purchased Shares to Purchaser and to otherwise perform its obligations under this Agreement.

The Company or the Seller has obtained the consent or approval (or waiver thereof) of any Person or any party necessary and has taken any other action that is reasonably necessary or desirable for the execution and delivery, and the performance of their obligations pursuant to this Agreement or in connection with the transactions contemplated hereby.

All authorizations, consents, waivers, orders, filings and approvals of all Governmental Authorities and all third party consents, in each case necessary for the consummation of the transactions contemplated by this Agreement, as set forth in Schedule 6.6, shall have been obtained or filed or have occurred and such authorizations, consents, waivers, orders, filings and approvals have not been amended, modified or revoked in any manner, and remain in full force and effect, and no Governmental Authority shall have made any objection to Purchaser third parties with respect to the legal authority of the Group Companies to engage in the Business (or any material portion thereof) or of the Sellers, Purchaser or their Affiliates or designees, to own or engage in the Business.
Third Party Authorizations. Obtainment, by the Oi Group Companies, as applicable, of all prior authorizations (or waivers) from third parties necessary for the completion of the Transaction, including the Corporate Reorganization, as indicated and described in Exhibit 4.3(iii);

No consents, waivers or approvals from other parties to Material Contracts to which the Corporation or any of its subsidiaries is a party or by which it or they are bound, is required by the Corporation or any of its subsidiaries in connection with the execution and delivery of this Agreement by the Corporation or the consummation of the transactions contemplated hereby, the failure of which to obtain would reasonably be expected to result in a material breach of any such Material Contract or constitute a Material Adverse Effect.
