Common use of Third Amendment Clause in Contracts

Third Amendment. The Administrative Agent shall have executed and delivered this Third Amendment and the Administrative Agent shall have received this Third Amendment, executed and delivered by a duly authorized officer of each of the Borrower and the Required Lenders (determined immediately after giving effect to the issuance of the Senior Secured Notes on the Third Amendment Effective Date and the application of a portion of the proceeds thereof to repay in full all then outstanding Term Loans, together with all accrued and unpaid interest thereon).

Third Amendment. The Administrative Agent shall have executed and delivered this Third Amendment and the Administrative Agent shall have received (i) this Third Amendment, executed and delivered by a duly authorized officer of each of the Borrower Administrative Agent, Holdings and the Required Borrower, and (ii) consent letters from Lenders (determined immediately after giving effect sufficient to authorize the amendments to the issuance of the Senior Secured Notes on the Credit Agreement effected by this Third Amendment Effective Date and the application of a portion of the proceeds thereof to repay in full all then outstanding Term Loans, together with all accrued and unpaid interest thereon)Amendment.

The Administrative Agent shall have executed and delivered this Third Amendment and the Administrative Agent shall have received this Third Amendment, Amendment executed and delivered by a duly authorized officer of each of the Borrower Borrower, the Administrative Agent and Lenders constituting no less than the Required Lenders (determined immediately after giving effect to the issuance which shall be originals or facsimiles or “.pdf” or “tiff” files unless otherwise specified, dated as of the Senior Secured Notes on the Third Amendment Effective Date and the application of a portion of the proceeds thereof to repay in full all then outstanding Term Loans, together with all accrued and unpaid interest thereon)Date.
