Common use of THE SUCCESSOR TRUSTEE Clause in Contracts

THE SUCCESSOR TRUSTEE. 3.1 Successor Trustee hereby represents and warrants to Resigning Trustee and to the Company that: Successor Trustee is not disqualified under the provisions of Section 7.10 and is eligible under the provisions of Section 7.10 of the Indenture to act as Trustee under the Indenture. This Agreement has been duly authorized, executed and delivered on behalf of Successor Trustee and constitutes its legal, valid and binding obligation, enforceable in accordance with its terms.

THE SUCCESSOR TRUSTEE. 3.1 Section 301. The Successor Trustee hereby represents and warrants to the Resigning Trustee and to the Company that: that the Successor Trustee is not disqualified qualified under the Indenture and under the provisions of Section 7.10 and is eligible under the provisions of Section 7.10 310 of the Trust Indenture Act of 1939, as amended, to act as Trustee under the Indenture. This Agreement has been duly authorized, executed and delivered on behalf of Successor Trustee and constitutes its legal, valid and binding obligation, enforceable in accordance with its terms.

THE SUCCESSOR TRUSTEE. 3.1 Successor Trustee hereby represents and warrants to Resigning Trustee and to the Company that: Successor Trustee is not disqualified under the provisions of Section 7.10 and is eligible under the provisions of Section 7.10 11.06 of the Indenture Pooling Agreement to act as Trustee under the IndenturePooling Agreement. This Agreement has been duly authorized, executed and delivered on behalf of Successor Trustee and constitutes its legal, valid and binding obligation, enforceable in accordance with its terms.

THE SUCCESSOR TRUSTEE. 3.1 SECTION 4.01. Successor Trustee hereby represents and warrants to Resigning Trustee and to Trustee, the Company and the Servicer that: (a) Successor Trustee is not disqualified under the provisions of Section 7.10 and is eligible under the provisions of Section 7.10 11.06 of the Indenture Trust Agreement and the Supplements to act as Trustee under the IndentureTrust Agreement and the Supplements. This (b) The Successor Trustee has full power, authority and right to execute, deliver and perform this Agreement; and this Agreement has been duly authorized, executed and delivered on behalf of by the Successor Trustee and constitutes its legal, valid and binding obligation, enforceable in accordance with its terms.

THE SUCCESSOR TRUSTEE. 3.1 Successor Trustee hereby represents and warrants to Resigning Trustee and to the Company that: that Successor Trustee is not disqualified under the provisions of Section 7.10 and is eligible under the provisions of Section 7.10 6.9 as Trustee under the Indenture of the Indenture to act as Trustee under the Indentureact. This Agreement has been duly authorized, executed and delivered on behalf of Successor Trustee and constitutes its legal, valid and binding obligation, enforceable in accordance with its terms.
