The Shares and the Group Companies. 1.1.1 Each Share Seller is entitled to sell and transfer to the Purchasers the full legal and beneficial ownership of the Shares set opposite its name in column 2 to Schedule 1 free from all Encumbrances on the terms of this Agreement without the consent of any other party.

There are no Encumbrances on any of the Shares, and there is, as of the Closing Date, no agreement to create any Encumbrance over any such Shares.
