The Practice. BMP will strive to provide primary care medical services to its patients, with special personalized services, including: • 30-minute routine office visits and one-hour annual physical exam • Same-day access to a physician for an acute illness during normal business hours • Phone calls promptly answered by a physician or nurse • After-hours telephone access on weekdays to the physicians for any medical concerns. A Bellevue Medical Partners physician is always available by phone on weekends and holidays. • Support personnel dedicated exclusively to patients of BMP • Physician oversight of patient hospital care at Overlake Medical Center in Bellevue • Physician coordination of sub-specialty care Please check the name of the physician who will be your “primary” physician and who will expect to provide your annual physical exams. The Practice. (a) agrees to hold, use and operate the Software subject to the terms of, and comply with the PRECEDENCE HEALTH CARE - INTEGRATED CARE PLATFORM (Inca)
The Practice. (a) acknowledges that all Intellectual Property Rights in the Software and Documentation throughout the world belong to Precedence Health Care or COORDINARE (as the case may be), that rights to the use of the Software and Documentation are licensed (not sold) to the Practice, and the Practice has no rights in, or to, the Software or Documentation other than the right to use them for the Term in accordance with the terms of this Agreement;
The Practice. Buyer and RCG acknowledge and agree that certain personnel of the Practice may become employed by Buyer or RCG (the "Practice Personnel"). Buyer and RCG agree to work in good faith with the Practice to make available the services of the Practice Personnel to perform substantially the same functions for the Practice as have been performed by such persons for the Practice prior to the Closing Date and the Practice agrees to reimburse Buyer or RCG its for their reasonable direct and indirect costs and expenses associated therewith. The Practice, Buyer and RCG acknowledge and agree that certain equipment used by the Centers is owned by the Practice as listed on Schedule 5.10 hereto (the "Leased Equipment"). For so long as requested by Buyer, the Practice agrees to continue to make available to Buyer the use of such equipment on the same terms and conditions that such Leased Equipment has been made available by the Practice to the Centers prior to the date hereof. In addition, the Practice leases certain administrative office space located at 10580 Xxxxx Xxxxxxxx Xxxxxx xxxt, for so long as requested by Buyer, it agrees to sublease to Buyer on the same terms and conditions that such property has been leased by the Practice prior to the date hereof. The Practice, Buyer and RCG agree to negotiate in good faith to formalize and enter into an agreement under which Buyer or RCG will provide traditional physician practice management services and Practice will lease to Buyer or RCG the Leased Equipment and the office space, for a term and for a fee as may be negotiated between the parties in good faith prior to Closing.
The Practice. Premises shall have a surgery sufficient in size for the requirements of normal general practice, with facilities including adequate lighting, hot and cold running water, adequate hand washing facilities, an examination couch and other essential needs of a practice, including adequate toilet facilities for patients;
The Practice and each Shareholder hereby consent to MAM's use of Shareholder's, or The Practice's name, or such name as The Practice uses as fictitious name(s), to manage and administer the non-medical aspects of The Practice pursuant to this Agreement.
