THE PERSONS listed in Schedule 1 (Original Parties) as original guarantors (in this capacity the Original Guarantors);

THE PERSONS whose names and addresses are set out in Part 1 of Schedule 1 (the “Shareholders”); and

THE PERSONS. NAMED IN SCHEDULE 1 hereto (hereinafter referred to as the “Present Shareholders”) of the one part; AND

THE PERSONS listed in Part 2 of Schedule 1 (Original Parties) as original lenders (in this capacity, the Original Lenders);

THE PERSONS whose names and addresses are set out in the first schedule (“Sellers”);

THE PERSONS listed in Schedule 1 (The Original Lenders) as lenders (the “Original Lenders”). IT IS AGREED as follows:

THE PERSONS. LISTED IN PART 3 OF SCHEDULE 1 (the “MN Sellers”);

THE PERSONS listed in Schedule 1 (The Original Parties) as original intragroup creditors (the “Original Intragroup Creditors”);

THE PERSONS. NAMED IN SCHEDULE 1 (the “Lenders”; and each, a “Lender”);

THE PERSONS. (the “Vendors”), whose names and addresses are set out in Part A of Schedule 2; and
