The Management. 2.1. The Management Company undertakes and warrants to manage and perform the Services in proper level and standard and the Lessee agrees to the said and consents to the exclusive management and performance of the Services. The Lessee waives any right to manage the Building, including by a tenants’ association and it grants all authorities granted to such a representation to the Management Company and undertakes to act in accordance with the provisions set forth in this Agreement. 2.2. The management period in accordance with this Agreement shall commence on the Effective Date.
The Management. Company shall provide all redemption requests duly timed, dated and stamped to the Trustee within twenty four (24) hours of receipt of any such request following the queue system.”
The Management. Company on behalf of the Fund shall not at any time net off any investment of the Fund against the investment(s) of the Unit Holder(s) in the Fund
The Management. Company has obtained approval of its Board of Directors for opening/arranging to open account(s) with any particular Bank. It may open accounts with any branch of such Banks and shall obtain approval of its Board of Directors in the subsequent meeting.
The Management. Company may, from time to time, with the consent of the Trustee make arrangements for conducting the business of the Scheme or with regard to any other matter incidental thereto; provided, that such arrangements are not inconsistent with the provisions of the Rules, the Regulations or the Constitutive Documents.
The Management. Company may issue different types of Units with different levels of Back-end Load and/or Front-end Load as may be disclosed in the Offering Document. Two types of Units of the Fund are offered, Class A (Restricted/Core) Units and Class A Units which are meant for various types of Investors:
a. Class A (Restricted) Units (seed capital) that shall be charged with no Front-end Load or Back-end Load;
b. Class A Units which shall be offered and issued after the Initial Period and charged with no Front-end Load or Back-end Load, as disclosed in the Offering Document;
c. Class B Units that shall be charged with Front-end Load;
d. Class C Units that shall be charged with Back-end Load;
e. Class D Units that shall be charged with Front-end and Back-end Load.”
The Management. Company with the approval of the Trustee has reduced the Par Value from Rs. 500/- to Rs. 100/- with effect from the date of this Second Supplemental Deed and therefore Units will be re- issued to the existing Unit Holders in the manner provided in 15.7 by multiplying the number of the existing Units held by them by five (5) in lieu of the existing Units held by them.” The Offer Price shall be equal to the sum of:
(a) The Net Asset Value as of the close of Subscription Day on which the application for issuance of Units has been received;
The Management. Company shall at the establishment of the Scheme and with the consent of the Trustee, appoint an Auditor, from the approved list of auditors circulated by the Commission from time to time, who shall be a chartered accountant and independent of the auditor of the Management Company and the Trustee and such auditor shall not be appointed for more than five (05) consecutive years.”
40.2 Deletion of clause 32.2
40.3 Insertion of new clause 34.2
3.1 After existing clause 32.1 (renumbered as 34.1), a new clause 34.2 is inserted and reads as under:
34.2 The persons not qualified to be the auditor of a public company under the Companies Ordinance, 1984 shall not be qualified to be the Auditor.”
The Management. Sellers shall keep the Buyer fully and promptly informed of the progress of any Tax Dispute and the Buyer shall be promptly sent copies of all correspondence and notes or other written records of telephone conversations or meetings and, in the event that there is no written record, shall be given an immediate report of any material telephone conversation with any Taxation Authority to the extent that it relates to a Tax Dispute;
The Management. Company shall not on behalf of the Scheme, subscribe to an issue underwritten, co-underwritten or sub-underwritten by group companies of the Management Company.
