The Chief Operating Officer. The Board of Directors shall designate whether the President or some other party shall be the Chief Operating Officer of the Corporation. If the President has not been designated as Chief Operating Officer, the Chief Operating Officer shall have such duties and responsibilities, under the general supervision of the President, as the President or the Board of Directors may from time to time prescribe.

The Chief Operating Officer. The Chief Operating Officer shall be the chief operating officer of the Corporation and shall perform, in general, all duties incident to the office of Chief Operating Officer and shall be responsible for the operations of the Corporation, including manufacturing, engineering, marketing, distribution, sales, labor relations and administrative responsibilities and such other duties as may be specified in these By-Laws or as may be assigned to him from time to time by (subject to Section 4.06) the President and Chief Executive Officer (or, if the Chairman is then acting as chief executive officer of the Corporation, by the Chairman). The Chief Operating Officer shall report to the President and Chief Executive Officer (or, if the Chairman is then acting as chief executive officer of the Corporation, to the Chairman).
