The Authorization. 1. The Company authorizes the Bottler, and the Bottler undertakes, to manufacture and package the Beverages and to distribute and sell the Beverages only in Authorized Containers, as hereinafter defined, under the Trademarks in and throughout the territories described in Schedule D (together with any territories added under paragraph 31, and subject to the possible elimination of subterritories under paragraph 29, the "Territories").
The Authorization. 1. (a) The Company authorizes the Bottler, and the Bottler undertakes, to: (i) manufacture and package the Fountain Syrups and (ii) distribute and sell the Fountain Syrups under the Trademarks in and throughout the Territories (as hereinafter defined) for Local Account Customers (as hereinafter defined) only.
The Authorization. [i.e., the authorization to issue the Offered Securities and to exclude, subject to certain requirements, the subscription rights of the shareholders of the Company with respect to the Offered Securities] is valid and in compliance with the German Stock Corporation Act (Aktiengesetz), and the issue of the Offered Securities and the Guarantee has been duly authorized in accordance with all applicable German laws, the Articles of Association and the Authorization, and is not subject to subscription rights of the Guarantor’s shareholders.
The Authorization. (l) The Borrower and the Guarantor shall have provided to the Bank the documentation and other information requested by the Bank in order to comply with requirements of the PATRIOT Act.
The Authorization. The BENEFICIARY authorizes BNDES to discount from any credit installment, when it is used, up to US$ 26,000.00 (twenty six thousand dollars) converted to Brazilian Reals with the exchange rate used by BNDES on the date the payment is made by BNDES, corresponding to the amounts incurred with the services provided by the law firm overseas hired by BNDES to provide consulting services in regard to the project described in Clause One of this Agreement, under the title of Expenses to Reimburse, including, without limiting, the amounts related to the services effectively provided, to be added by taxes and all other expenses.
The Authorization. 5.1. Authorization for Ground handling and Passenger services at the Airport , at the Eilat Airport and Ovda Airport and other airports ‐ the Israel Airports Authority hereby grants to the operator and the operator receives from the Israel Airports Authority, non ‐ exclusive permission, non ‐unique permission , limited in time and which can be waived under the provisions of the contract ( and which will be automatically canceled in principle with the cancellation of the contract for whatever reason), all those ( hereinafter in the contract, together: " the Authorization"):
The Authorization. NBFPI shall — without observance of the pre-emption right set forth in clause 6.3 — have the right — directly or through its nominated Board members — to cause an Exit (as defined in clause 6.3.5) in any form or shape, subject to the below provisions, and the other Parties shall be obliged to vote in favour of (and to ensure that Board members nominated by them vote in favour of) resolutions proposed by NBFPI or its nominated Board members to this effect. Accordingly, the below wording of the drag-along provisions shall not limit the type of Exit that may be caused by NBFPI but be deemed to cover all types of Exits. An Exit may include all of the shares in the Company or only a part thereof and may or may not involve a de-listing of the ADSs from the NASDAQ Global Market and a termination of the deposit of shares in the Company with the Company’s depositary bank (The Bank of New York Mellon).
The Authorization. 1. The Company authorizes the Bottler, and the Bottler undertakes, to manufacture and package the Beverages and to distribute and sell the Beverages only in Authorized Containers, as hereinafter defined, under the Trademarks in and throughout the territories identified in Schedule C (together with any territories added under paragraph 31, and subject to the possible elimination of subterritories under paragraph 29, the "Territories"). The Bottler may conduct any of the activities with respect to which it is authorized or appointed and satisfy any duty or obligation imposed upon it under this Agreement through its Bottler Affiliates provided that the Bottler shall remain responsible for all obligations imposed under this Agreement and for all of the conduct of its Bottler Affiliates.
The Authorization. 1. The Company authorizes the Bottler, and the Bottler undertakes, to manufacture and package the Beverages and to distribute and sell the Beverages only in Authorized Containers, as hereinafter defined, under the Trademarks in and throughout the territory described in Schedule B (together with any territories added under paragraph 31, and subject to the possible elimination of subterritories under paragraph 29, the "Territory"). The Bottler may conduct any of the activities with respect to which it is authorized or appointed and satisfy any duty or obligation imposed upon it under this Agreement through subsidiaries in which Bottler owns at least fifty-one percent (51%) of the outstanding stock and voting power (whether such ownership is direct or indirect) provided that the Bottler shall remain responsible for all obligations imposed under this Agreement
