Test Materials. Test Materials consist of all used and unused test booklets, proctors instructions, proctors manuals, scoring instructions, key sheets, key overlays, keyed booklets, scoring keys, instructions, CDs (for oral tests), and any other materials generated at the test administration, such as completed answer sheets (if applicable), scratch paper, note paper and the like.
Test Materials. The Test Materials will be provided to Core Lab by Customer for purposes of the Services as specified in the Scope of Work in Exhibit A. Customer will provide Core Lab with sufficient amounts of the Test Materials, as well as all relevant data and instructions needed to inform Core Lab of the stability of the Test Materials as well as storage and handling requirements for the safety of the Institution, the Core Lab, and its personnel. Customer will provide the Test Materials to Core Lab and shall handle all shipping and handling for Test Materials to Core Lab in a safe manner compliant with all applicable legal requirements. Customer shall provide Core Lab personnel with all necessary information about the stability of the Test Materials and all necessary requirements for the safe handling, use, storage and disposal of the Test Materials. The Test Materials are and shall remain the exclusive property of Customer. Core Lab shall use the Test Materials only for purposes of conducting the Services. Upon completion of the Services and payment of all invoices, Core Lab will return any remaining Test Materials to Customer or, upon prior written instructions from Customer, destroy any remaining Test Materials. Notwithstanding, any provision contained herein to the contrary, Institution shall not be liable to Customer for any loss of or damage to the Test Materials.

Test Materials. COMPANY will furnish the following materials to UNIVERSITY in connection with the Services (“Test Materials”):   If not applicable, the remainder of this Article 1.5 shall not apply. UNIVERSITY shall use the Test Materials only for the Services. Nothing in this agreement grants UNIVERSITY any rights to use Test Materials or any products or processes derived from Test Materials for profit-making or commercial purposes. COMPANY has no obligation to grant UNIVERSITY a license to use Test Materials. UNIVERSITY will not transfer the Test Materials to any third party for any reason and will direct any third party requests for Test Materials to COMPANY. UNIVERSITY will exercise reasonable care in the handling and storage of Test Materials but will not be liable to COMPANY for any loss of or damage to Test Materials. At COMPANY's direction, UNIVERSITY either will (a) destroy all unused Test Materials and upon request provide COMPANY certification of destruction; or (b) return to COMPANY, at COMPANY’s expense and to a location within the U.S., all unused Test Materials.
Test Materials. A list of reference materials covering the written portion of the promotional examination shall be provided by the Chief of Fire. Such list may be updated no later than sixty (60) days prior to any given examination.

University will exercise reasonable care in the handling and storage of Test Materials but will not be liable to Sponsor for any loss of or damage to Test Materials. The responsibility for and costs of disposal of all Test Materials remaining at the termination of the Technical Tests will rest with the Sponsor. Sponsor shall arrange for disposal or removal of any remaining Test Materials prior to receipt of any final Project report. The University may decline to accept Test Materials that impose undue risk.
