Terms of Novation; Conditions to Lloyds’ Obligations. (a) Lloyds agrees, subject to the terms and conditions hereinafter set forth, that on or prior to November 17, 2008 (i) it shall accept the transfer by novation of all of the Trust’s rights and obligations under the Prior Repo Agreement and the Prior Agilent Guaranty and the transfer by the Trust of the Purchased Securities, (ii) in connection with such novation and transfer the Repurchase Date shall be amended to be January 27, 2011 and (iii) Lloyds shall pay the amount of USD1,500,000,000 (“Novation Consideration”) to the Trust or the Trust’s designee in consideration of such novation and transfer.
