Terms Not to be Construed For or Against Either Party. Each term of this Agreement shall be construed simply according to its fair meaning and not strictly for or against either Party. The Parties have jointly prepared this Agreement, and no term of this Agreement shall be construed against a Party on the ground that the Party is the author of that provision.

In any construction of the terms of this Agreement, the same shall not be construed against either party on the basis of that party being the drafter of such terms.
