Terms Defined in the Uniform Commercial Code. Each term defined in the UCC of the State of New York and used herein shall have the meaning given therein unless otherwise defined herein.

Terms defined in the UCC and not otherwise defined herein or in the Purchase Agreement or other Transaction Documents shall have the meaning assigned thereto in the UCC as in effect from time to time. “UCC” means the Uniform Commercial Code as in effect in the State of New York from time to time; provided, that if by reason of mandatory provisions of law, the perfection or the effect of perfection or non-perfection of the security interest in any Collateral is governed by the Uniform Commercial Code as in effect in a jurisdiction other than New York, “UCC” means the Uniform Commercial Code as in effect in such other jurisdiction for purposes of the provisions hereof relating to such perfection or effect of perfection or non-perfection.
Terms Defined in the Uniform Commercial Code. Terms defined in the Nevada Uniform Commercial Code (the “Uniform Commercial Code”) which are not otherwise defined in this Agreement are used herein as defined in the Uniform Commercial Code as in effect on the date hereof; provided that if, by reason of applicable law, the validity or perfection or the effect of perfection or non-perfection or the priority of any security interest in any Collateral granted under this Agreement is governed by the Uniform Commercial Code as in effect in a jurisdiction other than Nevada, then as to the validity or perfection or the effect of perfection or non-perfection or the priority, as the case may be, of such security interest, “Uniform Commercial Code” shall mean the Uniform Commercial Code as in effect in such other jurisdiction.
