Buyer’s obligation to pay outstanding invoices and any other amounts due shall not be subject to any abatement, reduction, set-off, defense, counterclaim, interruption, deferment, or recoupment for any reason whatsoever. Any discounts, rebates, administrative fees, credits, or other fees due or owed to Buyer will be applied by ZEISS against such delinquent balances first before a payment or reimbursement is made to Buyer.

Terms and Method of Payment. Upon credit approval of Customer prior to shipment of products, payment shall be due 30 days from ITF Labs invoice date. Past due amounts bear interest at the monthly rate of 2% until full payment thereof and interest thereon. ITF Labs has the right, as well as any other remedy, to terminate this contract or to suspend further deliveries under same in the event Customer does not comply with the terms of payment.
