Terms and Conditions 1. The seller will provide the necessary labor and certain materials to properly maintain the equipment as listed on Equipment List Schedule-B. Scheduled maintenance will be provided on a regularly scheduled basis during the year as shown on Schedule-A.
Terms and Conditions 1. 2. The funds of the Career Development program can be used in any way that the applicant deems fit to help them in completing their course. The applicant must advise Council immediately if they wish to change the studies/short 3. course/workshop undertaken in their course. The applicant will need to maintain their residency in the Shire throughout the program. 4. The student must advise Council immediately if there are changes to their residency status. Either the student or Council may give written notice at any time to cancel the Career 5. Development Agreement. A minimum of four (4) weeks’ written notice is required. Council is not obligated to provide payment for any further education being undertaken at the date of termination of the Agreement, and which are later satisfactorily completed. By signing a Career Development Agreement, the applicant will agree for Council to obtain and publish general information about the applicant and their Career Development program. The information will generally be regarding the allocation of the Career Development program, the progress of the applicant’s studies including the attainment of awards. The information may be displayed in internal and external publications, such as newsletters and media articles.

The Parties hereby appoint the Escrow Agent as their escrow agent for the purposes set forth herein, and the Escrow Agent hereby accepts such appointment under the terms and conditions set forth herein. 1.2 At the Closing, the Buyer shall remit $2,000,000 (the “Escrow Amount”) to the Escrow Agent, using the wire instructions below, to be held, together with any and all interest and/or earnings thereon, by the Escrow Agent and invested and disbursed as provided in this Escrow Agreement. Within two (2) Business Days after receipt of either (a) a joint written instruction (“Joint Instruction”), signed by an authorized representative of the each of the Parties set forth on such Party’s Certificate of Incumbency provided to the Escrow Agent pursuant to Section 4.13 hereof, specifying (i) the amount of the Working Capital Deficiency, together with all interest and/or earnings on the Working Capital Deficiency accrued in the Escrow Account, to be paid to the Buyer, if any, and (ii) the amount remaining in the Escrow Account after such payment to the Buyer, if any, to be concurrently paid to the Seller, or (b) a Final Decision (as defined below) specifying the amount of the disbursement, in each case, containing instructions for payment of the disbursement, the Escrow Agent shall disburse funds as provided in the Joint Instruction or Final Decision, as the case may be, but only to the extent that funds are collected and available. For purposes of this Escrow Agreement, “Business Day” shall mean any day other than a Saturday, Sunday or any other day on which the Escrow Agent located at the notice address set forth in Section 4.5 is authorized or required by law or executive order to remain closed. For purposes of this Escrow Agreement, “Final Decision” shall mean a written final order of a court of competent jurisdiction delivered by a Party to the Escrow Agent and accompanied by a written opinion from legal counsel for such Party to the effect that such order is final and not subject to further proceedings or appeal and a written instruction from such Party to the Escrow Agent to effectuate such order.
