Common use of Termination Without Cause Clause in Contracts

Termination Without Cause. The Company may terminate the Executive’s employment at any time during the Term without Cause by delivering to the Executive a Notice of Termination 30 days in advance of the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.9 and otherwise cease performing his duties hereunder. The Notice of Termination need not state any reason for termination and such termination can be for any reason or no reason. The Notwithstanding anything to the contrary contained herein, it is agreed by the parties hereto that either the Company or Executive may at any time elect to terminate the Executive’s employment at any time during the Term without Cause by delivering to the Executive a Notice of Termination 30 days in advance of the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.9 and otherwise cease performing his duties hereunder. The Notice of Termination need not state any reason for termination and such termination can be for any reason or no reason. The Company may terminate the Executive’s employment of Executive and all of the Company's obligations hereunder (except as hereinafter expressly provided) at any time during the Term without Cause by delivering to the Executive a Notice of Termination 30 days in advance of the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.9 and otherwise cease performing his duties hereunder. The Notice of Termination need not state any reason for termination and such termination can be for any reason or for no reason. In the Term event of a termination without Cause cause by delivering to the Company, the Company shall pay Executive a Notice of Termination 30 days in advance the compensation, including all benefits, payable hereunder for the balance, if any, of the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.9 and otherwise cease performing his duties hereunder. The Company, at its sole discretion, may relieve Executive of his active duties during the Term notice period. The Notice of Termination need not state any reason for termination and such termination can be for any reason or no reason. The date of termination shall be the date set forth in the Notice of TerminationExecutive.

The Company may terminate the Executive’s employment at any time during without cause, after the Term without Cause by delivering to the Executive a Notice of Termination 30 days in advance of the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.9 and otherwise cease performing his duties hereunder. The Notice of Termination need not state any reason for termination and such termination can be Initial Period for any reason or no reason. Except as otherwise provided in Section 7 with respect to a Notice of Termination 30 days termination after a Change in advance of Control, or as otherwise provided under the Company's benefit plans as then in effect, the Executive shall not be entitled to any compensation or benefits hereunder accruing after the effective date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.9 and otherwise cease performing his duties hereunder. The Notice Company reserves the right to pay salary (less statutory deductions) in lieu of Termination need not state any reason for termination and such termination can be for any reason or no reason.
