Common use of Termination Without Cause; Resignation for Good Reason Clause in Contracts

Termination Without Cause; Resignation for Good Reason. (a) If, Executive’s employment is terminated by the Company without Cause or Executive resigns for Good Reason, then, subject to the terms and conditions of this Agreement, Executive shall be entitled to receive the following amounts and benefits:

(a) If, If the Executive’s employment is terminated by the Company without Cause (including, without limitation, as a result of death or permanent disability) or if Executive resigns from the Company for Good Reason, thenExecutive (or his dependents or beneficiaries, subject to the terms and conditions of this Agreement, Executive as applicable) shall be entitled to receive the following amounts and benefitsreceive:

(ai) IfIf the Executive incurs a “Separation from Service” within the meaning of Section 409A of the Code and the Regulations thereunder, by reason of the Company’s termination of the Executive’s employment is terminated by without Cause, or if the Company without Cause or Executive resigns from his employment hereunder for Good Reason, then, subject to the terms and conditions of this Agreement, Executive shall be entitled to receive the following amounts and benefitsfollowing:

(a) If, If the Executive’s employment is terminated by the Company without Cause (as defined below), other than due to Disability, or by the Executive resigns for Good ReasonReason (as defined below), then, subject to the terms and conditions provisions of this Agreement, Executive Section 8 shall be entitled to receive the following amounts and benefits:apply.

(a) If, prior to the expiration of the Term, (X) the Executive incurs a Separation from Service by reason of the Company’s termination of the Executive’s employment is terminated by or nonrenewal of the Company without Term for reasons other than for Cause or Executive resigns the Executive’s resignation from his/her employment hereunder for Good Reason, thenand (Y) the provisions of Section 5.2(b) do not apply, subject to the terms and conditions of this Agreement, Executive shall be entitled to receive the following amounts payments and benefits:

(a) IfIf during the term of the Agreement, the Executive’s 's employment is terminated by the Company without Cause or the Executive resigns voluntarily terminates his employment for Good Reason, then, subject to the terms and conditions of this Agreement, Executive shall be entitled to receive the following amounts and benefits:

(ai) IfIf the Executive incurs a “Separation from Service” within the meaning of Section 409A of the Code and the Regulations thereunder, by reason of the Company’s termination of the Executive’s employment is terminated by without Cause, or if the Company without Cause or Executive resigns from her employment hereunder for Good Reason, then, subject to the terms and conditions of this Agreement, Executive shall be entitled to receive the following amounts and benefitsfollowing:

(ai) If, If the Executive’s 's employment is terminated by the Company without Cause Without Cause, or if the Executive resigns from his employment for Good Reason, then, subject to the terms and conditions Executive's continuing compliance with Section 2 of this Agreement, the Executive shall be entitled to receive the following amounts and benefits:

(a) If, Executive’s employment If the Agreement is terminated (x) by the Company without Cause (other than as a result of Executive’s death or Executive resigns for Disability) or (y) upon Executive’s resignation with Good Reason, then, subject to the terms and conditions of this Agreement, then Executive shall be entitled to receive the following amounts and benefitsreceive:

(a) If, If Executive’s employment with the Company is terminated terminated: (i) by the Company without Cause for any reason other than for Cause, death or Disability; or (ii) by Executive resigns for Good Reason, then, subject then this Agreement shall terminate without further obligations to the terms and conditions of Executive under this Agreement, Executive shall be entitled other than for the payments of Accrued Salary and Accrued Bonus and for the payments and benefits set forth in this Section 4, in each case subject to receive the following amounts and benefitsSection 9 hereof, and:

(ai) If, If the Executive’s 's employment is terminated by the Company without Cause Cause, or if the Executive resigns from his employment for Good Reason, thenand if the Executive executes an Agreement and General Release, subject to which shall be drafted by the terms Company, and conditions if the Executive complies with Section 2 of this Agreement, the Executive shall be entitled to receive the following amounts benefits, provided, however, that if termination is a consequence of the Executive's resignation for Good Reason, or Termination without Cause, his benefits shall be only those described in (A) and benefits(B) below:

(ai) If, If the Executive’s employment with the Company is terminated by the Company without Cause Cause, or Executive resigns as a result of his resignation for Good ReasonReason (as defined in Section 5), thenthen the Executive shall receive the Other Accrued Compensation and Benefits, any Bonus earned, but unpaid, for the year prior to the year of termination and, subject to the terms and conditions of this Agreement, Executive shall be entitled to receive the following amounts and benefits:Section 4(d):

(ai) If, prior to the expiration of the Term, the Executive incurs a Separation from Service by reason of the Company’s termination of the Executive’s employment is terminated by the Company without Cause Cause, or Executive resigns as a result of his resignation for Good ReasonReason (as defined in Section 5), thenthen the Executive shall receive the Other Accrued Compensation and Benefits and, subject to the terms and conditions of this Agreement, Executive shall be entitled to receive the following amounts and benefits:Section 4(f):
