Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within the period beginning three (3) months before, and ending twelve (12) months following, a Change of Control, and Executive signs and does not revoke a release of claims with the Company (in a form reasonably acceptable to the Company) and provided that such release of claims becomes effective no later than the Release Deadline, then subject to this Section 3, Executive will receive the following:

Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If the Company terminates or its Affiliates terminate Executive’s employment with the Company or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs Reason within the period beginning three (3) months before, and ending twelve (12) months following, following a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form reasonably acceptable to the Company) and provided that such release of claims becomes effective no later than the Release Deadline), then subject to this Section 3, Executive will receive the followingfollowing severance from the Company:

If the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within during the period beginning commencing three (3) months before, before and ending twelve (12) months following, after a Change of Control, and (i) Executive signs and does not revoke a release of claims terminates his or her employment with the Company (in a form reasonably acceptable to or any Affiliate) for Good Reason or (ii) the CompanyCompany (or any Affiliate) and provided that such release of claims becomes effective no later terminates Executive’s employment for other than the Release DeadlineCause, then Executive becoming Disabled or Executive’s death, then, subject to this Section 34, Executive will receive the followingfollowing severance from the Company:

If the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within the period beginning three (3) months before, before and ending twelve (12) months following, after a Change of Control, and Executive signs and does not revoke a release of claims with the Company (in as required by Section 4 and resigns as a form reasonably acceptable to member of the Company) and provided that such release of claims becomes Board, if applicable, effective no later than the Release Deadlinethirty (30) days following Executive’s termination, then subject to this Section 3, Executive will receive the followingfollowing from the Company:

If the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within the period beginning three (3) months before, before and ending twelve (12) months following, after a Change of Control, and Executive signs and does not revoke a release of claims with the Company (in a form reasonably acceptable to the Company) Company and provided that such release of claims becomes substantially similar to the form attached hereto as Exhibit A and effective no later than March 15 of the Release Deadlineyear following the year in which the termination occurs), then subject to this Section 3, Executive will receive the followingfollowing from the Company:

If the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within the period beginning three (3) months before, before and ending twelve (12) months following, after a Change of Control, and Executive signs and does not revoke a release of claims with the Company (in a form reasonably acceptable to the Company) Company and provided that such release of claims becomes effective no later than the Release Deadline60th day following the Executive’s termination date), then subject to this Section 3, Executive will receive the followingfollowing from the Company:

If the Company terminates Executive’s employment with the Company without Cause on or if Executive resigns from such employment for Good Reason, and such termination occurs within the period beginning three six (36) months before, and ending twelve (12) months following, following a Change of Control, (i) Executive’s employment is terminated by the Company (or any parent, subsidiary or successor of the Company) without Cause or (ii) Executive resigns for Good Reason, and Executive signs and does not revoke a the release of claims with the Company (in a form reasonably acceptable to the Company) and provided that such release of claims becomes effective no later than the Release Deadline, then subject to this required by Section 35, Executive will receive the followingfollowing severance benefits from the Company:
