Common use of Termination Procedures Clause in Contracts

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to Section 8.5, the Purchaser shall deliver to the Shareholders a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Shareholders wish to terminate this Agreement pursuant to Section 8.5, the Shareholders shall deliver to the Purchaser a written notice stating that the Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

Termination Procedures. If the Purchaser Buyer wishes to terminate this Agreement pursuant to Section 8.58.1, the Purchaser Buyer shall deliver to the Shareholders Stockholder Representative a written notice stating that Buyer is terminating this Agreement and setting forth a brief description of the basis on which Buyer is terminating this Agreement. If the Stockholder Representative wishes to terminate this Agreement pursuant to Section 8.1, the Stockholder Representative shall deliver to Buyer a written notice stating that the Purchaser Stockholders Representative is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If Stockholders Representative (acting for the Shareholders wish to terminate this Agreement pursuant to Section 8.5, the Shareholders shall deliver to the Purchaser a written notice stating that the Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Seller Sellers) is terminating this Agreement.

Termination Procedures. If the Purchaser wishes to terminate this Agreement pursuant to Section 8.59.1, the Purchaser shall deliver to the Shareholders and the Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Purchaser wishes to terminate this Agreement pursuant to Section 8.513.1, the Purchaser shall deliver to the Shareholders Sellers a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Sellers’ Representative wishes to terminate this Agreement pursuant to Section 8.1, the Sellers’ Representative shall deliver to Buyer a written notice stating that the Purchaser Sellers’ Representative is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Shareholders wish to terminate this Agreement pursuant to Section 8.5, the Shareholders shall deliver to the Purchaser a written notice stating that the Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Seller Sellers’ Representative is terminating this Agreement.

If the Purchaser Buyer wishes to exercise its right to terminate this Agreement pursuant to in accordance with the provisions of Section 8.58.01, the Purchaser it shall deliver to the Shareholders Seller a written notice stating that the Purchaser Buyer is terminating this Agreement and setting forth a brief detailed description of the basis on which the Purchaser Buyer is terminating this Agreement. If the Shareholders wish Seller wishes to exercise its right to terminate this Agreement pursuant to in accordance with the provisions of Section 8.58.01, the Shareholders Seller shall deliver to the Purchaser Buyer a written notice stating that the Shareholders are Seller is terminating this Agreement and setting forth a brief detailed description of the basis on which the Seller is terminating this Agreement.

If the Purchaser Buyer wishes to terminate this Agreement pursuant to Section 8.511.1.2, the Purchaser or 11.1.3, Buyer shall deliver to the Shareholders Seller a written notice stating that the Purchaser Buyer is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser Buyer is terminating this Agreement. If the Shareholders wish Seller wishes to terminate this Agreement pursuant to Section 8.511.1.2, the Shareholders or 11.1.4, Seller shall deliver to the Purchaser Buyer a written notice stating that the Shareholders Seller are terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 8.57.1(a) or Section 7.1(c), the Purchaser shall deliver to the Shareholders any Vendor a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Shareholders wish Vendor wishes to terminate this Agreement pursuant to Section 8.57.1(b)or Section 7.1(d), the Shareholders Vendor shall deliver to the Purchaser a written notice stating that the Shareholders are Vendor is terminating this Agreement and setting forth a brief description of the basis on which the Seller Vendor is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 8.56.1, the Purchaser shall deliver to the Shareholders Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Shareholders wish to terminate this Agreement pursuant to Section 8.5, the Shareholders shall deliver to the Purchaser a written notice stating that the Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Vendors wish to terminate this Agreement pursuant to Section 10.1(a), the Vendors shall deliver to the Purchasers a written notice stating that the Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Vendors are terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 8.58.1, the Purchaser shall deliver to the Shareholders Seller a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Shareholders wish Seller wishes to terminate this Agreement pursuant to Section 8.58.1, the Shareholders Seller shall deliver to the Purchaser a written notice stating that the Shareholders are Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.

If the Purchaser wishes to terminate this Agreement pursuant to Section 8.57.1(a), Section 7.1(c) or Section 7.1(e), the Purchaser shall deliver to the Shareholders any Vendor a written notice stating that the Purchaser is terminating this Agreement and setting forth a brief description of the basis on which the Purchaser is terminating this Agreement. If the Shareholders wish Vendors wishes to terminate this Agreement pursuant to Section 8.57.1(b), Section 7.1(d) or Section 7.1(f), the Shareholders Vendors shall deliver to the Purchaser a written notice signed by each of the -47- 52 Vendors and stating that the Shareholders Vendors are terminating this Agreement and setting forth a brief description of the basis on which the Seller is Vendors are terminating this Agreement.

Termination Procedures. (a) If the Purchaser wishes to terminate this Agreement pursuant to Section 8.59.1, the Purchaser shall deliver to the Shareholders Company a written notice stating that the Purchaser is terminating this Agreement and setting forth the specific subsection(s) of Section 9.1 pursuant to which Purchaser is terminating this Agreement and a brief description of the basis on which the Purchaser is terminating this Agreement. If ; provided, further, that the Shareholders wish to Purchaser may not terminate this Agreement pursuant to Section 8.5, the Shareholders shall deliver to the Purchaser a written notice stating that the Shareholders are terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.82

If the Shareholders wish Seller wishes to terminate this Agreement pursuant to any provision of Section 8.58.1, the Shareholders Seller shall deliver to the Purchaser a written notice stating that the Shareholders are Seller is terminating this Agreement and setting forth a brief description of the basis on which the Seller is terminating this Agreement.
