Common use of TERMINATION OF THE OFFERING Clause in Contracts

TERMINATION OF THE OFFERING. The Offering Period will terminate on a date (i) six months from the date of the Prospectus in the event the Minimum Offering is not sold by that date, and if the Minimum Offering is sold and if the Offering continues thereafter, (ii) on or before one year from the date of the Prospectus (subject to requalification in certain states, the Company may extend the Offering Period from time to time, but in no event for longer than two years from the date of the Prospectus), subject in any event to the Company's right to terminate the Offering at any time (the "Termination Date") and the proceeds will be applied as set forth in the Prospectus.
