Termination of Active Employment Period; 1995 Bonus. Notwithstanding anything to the contrary contained in Section 6 of the Agreement, Employee's Active Employment Period shall terminate, and Employee's Consulting Period shall commence, on the Closing Date. During the period from September 1, 1995 until the Closing Date, Employee's base salary (as defined in the Agreement) shall continue to be paid at the base salary rate paid during the 1995 fiscal year. Any bonus due to Employee for employment during the period of September 1, 1994 through August 31, 1995 shall be calculated based on the Corporation's net income, as determined in accordance with generally accepted accounting principles consistently applied (which determination shall take into account all expenses incurred by the Corporation in connection with the Merger and in connection with the consideration of any other business combination).

  • Termination of Employment Period The employment of the Employee by the Company pursuant to this Agreement shall terminate upon the occurrence of any of the following:

  • Employment Period; Remaining Unexpired Employment Period (a) The terms and conditions of this Agreement shall be and remain in effect during the period of employment established under this Section 2 (“Employment Period”). The Employment Period shall be for an initial term of three (3) years beginning on the date of this Agreement and ending on the third anniversary date of this Agreement, plus such extensions, if any, as are provided pursuant to Section 2(b).

  • Expiration of Employment Period If Executive’s employment shall be terminated due to the normal expiration of the Employment Period, this Agreement shall terminate without further obligations to Executive, other than for payment of Accrued Obligations and the timely payment or provision of Other Benefits.

  • Qualifying Termination of Employment A “Qualifying Termination of Employment” shall mean a termination of Executive’s employment during the Protected Period either (a) by the Company other than for Cause or (b) by Executive for a Good Reason. A termination of employment due to the Executive’s death or Disability during the Protected Period shall not constitute a Qualifying Termination of Employment.
