Common use of Termination for Insolvency Clause in Contracts

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts (ii) upon the Buyer making an assignment for the benefit of creditors, or (iii) upon the Buyer’s dissolution.

Termination for Insolvency. This Agreement shall terminate, without -------------------------- notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Distributor's debts, (ii) upon the Buyer Distributor's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s Distributor's dissolution.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Affiliate of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Affiliate's debts, (ii) upon the Buyer Affiliate's making an assignment for the benefit of creditors, or (iii) upon initiation of dissolution proceedings of the Buyer’s dissolutionAffiliate.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Representative of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Representative's debts, (ii) upon the Buyer Representative's making an assignment for the benefit of creditors, or (iii) upon initiation of dissolution proceedings of the Buyer’s dissolutionRepresentative.

Termination for Insolvency. This Agreement shall terminateterminate automatically, without noticewith no action required to be taken by or on behalf of INFRAREDX, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings proceedings, appointment of an administrator or any other proceedings for the settlement of the BuyerDistributor’s debts debts, (ii) upon the Buyer Distributor’s making an assignment for the benefit of creditors, or (iii) upon Distributor’s dissolution or ceasing to do business. Distributor immediately shall notify INFRAREDX of the Buyer’s dissolutionoccurrence of any of the above.

Termination for Insolvency. This Agreement shall terminate, terminate immediately without notice, : (i) upon the institution by or against the Buyer Company or Parent of insolvency, receivership by or bankruptcy proceedings or any other proceedings for the settlement of the BuyerCompany’s debts or Parent’s debts; (ii) upon the Buyer Company’s or Parent’s making an assignment for the benefit of creditors, ; or (iii) upon the BuyerCompany’s dissolution.or Parent’s dissolution or liquidation,

Termination for Insolvency. This Agreement shall terminate, without notice, (ia) upon the institution by or against the Buyer of either party for insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts proceedings, (iib) upon the Buyer Marketlink making an assignment for the benefit of creditors, or (iiic) upon the Buyer’s Marketlink dissolution.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Agent of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Agent's debts, (ii) upon the Buyer Agent's making an assignment for the benefit of creditors, or (iii) upon initiation of dissolution proceedings of the Buyer’s dissolutionAgent.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Distributor's debts, (ii) upon the Buyer Distributor's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s dissolutionDistributor's dissolution or ceasing to do business.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Purchaser of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Purchaser's debts, (ii) upon the Buyer Purchaser's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s dissolutionPurchaser's dissolution or ceasing to do business.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings proceedings, or any other proceedings for the settlement of the BuyerDistributor’s debts debts, (ii) upon the Buyer Distributor making an assignment for the benefit of creditors, or (iii) upon the BuyerDistributor’s dissolutiondissolution or ceasing to do business.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the BuyerDistributor’s debts debts; (ii) upon the Buyer Distributor’s making an a general assignment for the benefit of creditors, ; or (iii) upon the BuyerDistributor’s dissolution.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts 's debts, (ii) upon the Buyer Buyer's making an assignment for the benefit of creditors, or (iii) upon Buyer's dissolution or ceasing to do business, provided Buyer has not eliminated the Buyer’s dissolutionapplicable condition mentioned above upon [***] advance written notice from Seller to do so.

Termination for Insolvency. This Agreement shall terminate, without notice, notice (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Distributor's debts, (ii) upon the Buyer Distributor's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s dissolutionDistributor's dissolution or ceasing to do business.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the BuyerDistributor’s debts debts, (ii) upon the Buyer Distributor’s making an assignment for the benefit of creditors, or (iii) upon the BuyerDistributor’s dissolutiondissolution or ceasing to function as an on going business concern.

Termination for Insolvency. This Agreement shall terminateterminate automatically, without notice, (i) upon the institution by or against the Buyer (if meritorious) Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Distributor's debts; (ii) upon the Buyer Distributor's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s Distributor's dissolution.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer either party, of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts (ii) upon the Buyer making an assignment for the benefit of creditors, or (iii) upon the Buyer’s dissolution.bankruptcy

Termination for Insolvency. (i) upon the institution by or against the Buyer Licensee of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Licensee*s debts; (ii) upon the Buyer Licensee*s making an assignment for the benefit of creditors, ; or (iii) upon the Buyer’s dissolutionLicensee*s dissolution or ceasing to do business.

Termination for Insolvency. This Agreement shall terminateterminate immediately, without upon written notice, (i) upon the institution by or against the if Buyer of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts (ii) upon the Buyer making makes an assignment for the benefit of creditors, or (iii) upon the if a trustee or receiver is appointed for Buyer or for a substantial part of its assets, or if bankruptcy, reorganization or insolvency proceedings are instituted by or against Buyer’s dissolution.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the BuyerDistributor’s debts debts. (ii) upon the Buyer Distributor’s making an assignment for the benefit of creditors, or (iii) upon the BuyerDistributor’s dissolutiondissolution or ceasing to do business.

Termination for Insolvency. This Agreement shall terminateterminate automatically, without notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Distributor's debts, (ii) upon the Buyer Distributor's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s Distributor's dissolution.

Termination for Insolvency. This Agreement shall terminate, without notice, may be terminated with written notice (i) upon i)upon the institution by or against the Buyer of insolvency, receivership or liquidation, receivership, bankruptcy proceedings proceedings, or any other proceedings for the settlement of the Buyer’s debts 's debt, if such proceeding is not dismissed within thirty (30) days; or (ii) upon the Buyer following Buyer's making an assignment for the benefit of creditors, ; or (iii) upon the following Buyer’s 's dissolution.

Termination for Insolvency. This Agreement shall terminateterminate immediately without judicial intervention, without notice, (ia) upon the institution by or against the Buyer either Party of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement in consequence of the Buyer’s debts debt, (iib) upon the Buyer either party making an assignment for the benefit of creditors, or (iiic) upon the Buyer’s dissolutiondissolution of either company except for dissolution by merger into another company.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer either party of any insolvency, receivership receivership, or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts proceeding, (ii) upon the Buyer insolvent party's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s dissolutioninsolvent party's dissolution or ceasing to do business.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Purchaser of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the BuyerPurchaser’s debts debts, (ii) upon the Buyer Purchaser’s making an assignment for the benefit of creditors, or (iii) upon the BuyerPurchaser’s dissolutiondissolution or ceasing to do business. For the purposes of clarity, termination of the Agreement pursuant to paragraphs (a) or (b) above, is limited to Products which are undelivered on the effective date of such termination.

This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Distributor's debts, (ii) upon the Buyer Distributor making an assignment for the benefit of creditors, or (iii) upon initiation of dissolution proceedings of the Buyer’s dissolutionDistributor.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Representative of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Representative's debts, (ii) upon the Buyer Representative's making an assignment for the benefit of creditors, or (iii) upon initiation of dissolution proceedings of the Buyer’s dissolution.Representative. D.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the filing by an institution by or against the Buyer Rep for reason of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Rep's debts, (ii) upon the Buyer Rep's making an assignment for the benefit of creditors, or (iii) upon initiation of dissolution proceedings of the BuyerRep (if Rep hereafter forms an entity to fulfill Rep’s dissolutionobligations).

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Representative of insolvency, receivership or bankruptcy proceedings or any other proceedings for fur the settlement of the Buyer’s debts Representative's debts, (ii) upon the Buyer Representative's making an assignment for the benefit of creditors, or (iii) upon initiation of dissolution proceedings of the Buyer’s dissolutionRepresentative.

Termination for Insolvency. This Agreement shall terminate, -------------------------- without notice, (i) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Distributor's debts, (ii) upon the Buyer Distributor's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s Distributor's dissolution.

Termination for Insolvency. This Agreement shall terminate, terminate immediately without notice, : (i) upon the institution by or against the Buyer or Seller of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts 's or Seller's debts; (ii) upon the Buyer Buyer's or Seller's making an assignment for the benefit of creditors, ; or (iii) upon the Buyer’s dissolution's or Seller's dissolution or liquidation.

Termination for Insolvency. This Agreement shall terminate, without notice, (i) upon the institution by or against the Buyer Reseller of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Reseller's debts; (ii) upon the Buyer Reseller's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s Reseller's dissolution.

Termination for Insolvency. This Agreement shall terminate, without notice, (iI) upon the institution by or against the Buyer Distributor of insolvency, receivership or bankruptcy proceedings or any other proceedings for the settlement of the Buyer’s debts Distributor's debts, (ii) upon the Buyer Distributor's making an assignment for the benefit of creditors, or (iii) upon the Buyer’s Distributor's dissolution.
