Common use of Termination Following Change in Control Clause in Contracts

Termination Following Change in Control. If any of the events described in Section 2 above constituting a change in control of the Corporation shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on the subsequent termination of your employment during the term of this Agreement, unless the termination is (A) because of your death, Disability or Retirement, (B) by the Corporation for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above 2(i) hereof constituting a change Change in control of the Corporation Control shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iiiSection 4(iv) below on hereof upon the subsequent termination of your employment with the Company and its subsidiaries during the term of this Agreement, Agreement unless the such termination is (A) because a result of your death, Disability death or Retirement, or (B) by the Corporation your termination for Causeother than Good Reason, or (C) your being terminated by you other than the Company or any of its subsidiaries for Good ReasonDisability or for Cause.

Termination Following Change in Control. If any of the events described in Section 2 above constituting a change in control of the Corporation Company, as defined in Section 2 hereof, shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on hereof upon the subsequent termination of your employment during the term of this Agreement, Agreement unless the such termination is (A) because of your death, Disability or Retirement, (B) by the Corporation Company for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above hereof constituting a change in control of the Corporation Company shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii4(iv) below on hereof upon the subsequent termination of your employment during the term of this Agreement, Agreement unless the such termination is (Aa) because of your death, Disability or Retirement, (Bb) by the Corporation Company for Cause, or (Cc) by you other than for Good Reason.

Termination Following Change in Control. If any Change in Control of the events described in Section 2 above constituting a change in control of the Corporation Company shall have occurred, you shall thereafter be entitled to the benefits Benefits provided in Subsection 4(iii6(c) below on hereof upon the subsequent termination of your employment by the Company during the term of this Agreement, unless the provided that such termination is (Ai) because of your death, Disability or Retirement, (B) effected by the Corporation Company otherwise than for CauseCause or by reason of Retirement or Disability, or (Cii) effected by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above constituting a change in control of the Corporation shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on upon the subsequent termination of your employment during the term of this Agreement, unless the termination is (A) because of your death, Disability or Retirement, (B) by the Corporation for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above constituting a change in control of the Corporation Company shall have occurred, you Employee shall be entitled to the benefits provided in Subsection 4(iii) below on upon the subsequent termination of your employment during the term of this Agreement, unless the termination is (A) because of your death, Disability or Retirement, (B) by the Corporation for Cause, or (C) by you other than for Good Reason.:

Termination Following Change in Control. Termination Following Change in Control. If any of the events described in Section 2 above constituting a change in control of the Corporation shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on upon the subsequent termination of your employment contracted services during the term of this Agreement, unless the termination is (A) because of your death, Disability or Retirement, (B) by the Corporation for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above constituting a change in control of the Corporation Company shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on upon the subsequent termination of your employment during the term of this Agreement, Agreement unless the such termination is (A) because of your death, Disability or Retirement, (B) by the Corporation Company for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above Subsection 2(a) hereof constituting a change Change in control Control of the Corporation Company shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii4(c) below on hereof upon the subsequent termination of your employment during the term of this Agreement, unless the if such termination is (A) because of your death, Disability or Retirement, (By) by the Corporation Company other than for Cause, or (Cz) by you other than for Good Reason, or by your Voluntary Termination as provided in Subsection 3(c)(ii) hereof.

Termination Following Change in Control. If any of the events described in Section Paragraph 2 above hereof constituting a change Change in control of the Corporation Control shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on Paragraph 4 hereof upon the subsequent termination of your employment during the term of this Agreement, unless the such termination is (Aa) because of your death, Disability death or Retirementdisability, (Bb) by the Corporation Company for Cause, or (Cc) by you other than for Good Reason., all as defined hereafter:

If any of the events described in Section 2 above constituting a change in control Change In Control of the Corporation Company shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) subsection 4.3 below on the subsequent termination or "Constructive Termination" of your employment during the term of this Agreement, unless the termination is (A) because of your death, Disability or Retirement, (B) by the Corporation Company for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above Subsection 2(i) hereof constituting a change in control of the Corporation Company shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on hereof upon the subsequent termination of your employment during the term of this Agreement, Agreement unless the such termination is (A) because of your death, Disability or Retirement, (B) by the Corporation Company for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above Subsection 2(i) hereof constituting a change Change in control Control of the Corporation Company shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on and (iv) hereof upon the subsequent termination of your employment during the term of this Agreement, Agreement unless the such termination is (A) because of your deathdeath or Disability as defined in Section 3(i), Disability or Retirement, (B) by the Corporation Company for Cause, or upon your resignation within thirty-six (C36) by you other than for Good Reasonmonths of the occurrence of such events as specified in Section 2.

Termination Following Change in Control. If any of the events described in Section 2 above Subsection 2(a) hereof constituting a change Change in control Control of the Corporation Company shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii4(c) below on hereof upon the subsequent termination of your employment (whether or not such termination is voluntary) during the term of this Agreement, Agreement unless the such termination is (Ay) because of your death, Disability death or Retirement, (Bz) by the Corporation Company for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above Subsection 2(i) hereof constituting a change in Page 3 control of the Corporation Company shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on hereof upon the subsequent termination of your employment during the term of this Agreement, Agreement unless the such termination is (A) because of your death, Disability or Retirement, (B) by the Corporation Company for Cause, or (C) by you other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above constituting a change in control of the Corporation shall have occurred, you Employee shall be entitled to the benefits provided in Subsection 4(iii) below on the subsequent termination of your Employee's employment during the term 36 months following a Change of this AgreementControl, unless the termination is (A) because of your Employee's death, Disability Inability to Perform or Retirement, (B) by the Corporation for Cause, Cause or (C) by you Employee other than for Good Reason.

Termination Following Change in Control. If any of the events described in Section 2 above constituting a change Change in control Control of the Corporation shall have occurred, you shall be entitled to the benefits provided in Subsection 4(iii) below on upon the subsequent termination of your employment during the term of this Agreement, Agreement unless the such termination is (A) because of your death, Disability (as defined below) or RetirementRetirement (as defined below), (B) by the Corporation for CauseCause (as defined below), or (C) by you other than for Good ReasonReason (as defined below).
