Common use of Termination Due to Death or Disability Clause in Contracts

Termination Due to Death or Disability. If Executive’s employment terminates by reason of death or Disability, then (i) Executive will be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s).

Termination Due to Death or Disability. If Executive’s 's employment may be terminated by the Company due to Executive's Disability (as defined in the Company's Human Resources policies). In the event that Executive's employment hereunder terminates by reason of due to his death or is terminated by the Company due to Executive's Disability, then (ino termination benefits shall be payable to or in respect of Executive except as provided in Section 7(f) Executive will be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s).

Termination Due to Death or Disability. If Notwithstanding anything to the contrary in this Agreement, if Executive’s employment terminates by reason of death or Disability, then (i) Executive will be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s); (ii) all payments of compensation by the Company to Executive hereunder will terminate immediately, and (iii) Executive will be entitled to receive benefits only in accordance with the Company’s then established plans, programs, and practices.

Termination Due to Death or Disability. If Executive’s employment terminates by reason of hereunder is terminated due to Executive’s death or Disability, then (i) Executive will be entitled to shall receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s)Accrued Benefits.

If Except as set forth in Section 8(a), if Executive’s employment terminates by reason of death or Disability, then (i) Executive will be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s).

Termination Due to Death or Disability. If Executive’s employment terminates by reason of death or Disability, then (i) Executive will be entitled to receive benefits only with respect to Covered RSUs in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards will terminate in accordance with terms of the terms and conditions of the applicable award agreement(s).

If Notwithstanding anything to the contrary in this Agreement, if Executive’s 's employment terminates by reason of death or Disability, then (i) Executive will be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s 's outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s); (ii) all payments of compensation by the Company to Executive hereunder will terminate immediately, and (iii) Executive will be entitled to receive benefits only in accordance with the Company's then established plans, programs, and practices.

Termination Due to Death or Disability. If Executive’s employment terminates by reason with the Company shall terminate immediately in the event of death his Disability or DisabilityDeath, then and in the event of such a termination, Executive, or in the case of his death, his estate, heir or covered dependents (i) Executive will be as the case may be), shall become entitled to receive benefits only the compensation set forth in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s)Section 5.4 below.

If Executive’s 's employment terminates by reason of death or Disability, then then, except as provided in Section 7, (i) Executive will be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s 's outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s); (ii) all payments of compensation by the Company to Executive hereunder will terminate immediately, and (iii) Executive will be entitled to receive benefits only in accordance with the Company's then established plans, programs, and practices.

If Executive’s employment terminates by reason of death or Disability, then (i) Executive will be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, policies and arrangements, ; and (ii) Executive’s outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s).

If Executive’s 's employment terminates by reason of death or Disability, then (i) Executive will be entitled to receive benefits only in accordance with the Company’s 's then applicable plans, policies, and arrangements, and (ii) subject to Section 3(c), Executive’s 's outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(s).

Termination Due to Death or Disability. If In the event the Executive’s employment terminates is terminated by reason of his death or Disability, then (i) the Executive will or his estate shall be entitled to receive benefits only the Accrued Bonuses, the Benefit Continuation and the equity acceleration in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards will terminate in accordance with the terms and conditions of the applicable award agreement(sSection 3.2(a)(i).

Termination Due to Death or Disability. If Executive’s employment terminates by reason of hereunder is terminated due to his death or Disabilitydisability (as described in paragraph 2.2(b)), then (i) Executive will shall be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, Accrued Benefits and (ii) Executive’s outstanding equity awards will terminate in accordance with all LTIP awards, the Signing Bonus Grant and the Option shall be 100% vested and paid according to the terms and conditions of the applicable award agreement(s)agreements.

If Executive’s employment terminates by reason of death or Disability, then (i) Executive will be entitled to receive benefits only in accordance with the Company’s then applicable plans, policies, and arrangements, and (ii) Executive’s outstanding equity awards unvested stock options will terminate in accordance with the terms accelerate and conditions of the applicable award agreement(s)fully vest.
