Common use of Termination Charge Clause in Contracts

Termination Charge. 3.3.11.1 If this Agreement and all of Lender's obligations hereunder are terminated pursuant to Section 10.2.1.1 or 10.2.2.1 (irrespective of whether Lender has previously given notice of termination to Borrower pursuant to Section 11.1), Borrower will pay Lender the Termination Charge, computed from the date on which all other Obligations have been fully paid to the next Anniversary Date that is at least sixty (60) days after the day on which Lender's obligations hereunder are terminated pursuant to Section 10.2.1.1 or 10.2.2.1.
