TERMINATION BY XXXXXX, NEWCO OR VOYAGER. This Agreement may be terminated and the Merger may be abandoned by action of either of the boards of directors of Xxxxxx and Newco or the board of directors of Voyager if (a) the Merger shall not have been consummated on or before November 30, 1997 or such later date as may be mutually agreed to by the parties hereto, provided that the party taking action to terminate this Agreement is not otherwise in breach in any material respect of any of its obligations hereunder or (b) any court of competent jurisdiction or other governmental body shall have issued an order, decree or ruling or taken any other action restraining, enjoining or otherwise prohibiting the Merger and such order, decree, ruling or other action shall have become final and nonappealable.
