Common use of Termination by the Executive for Good Reason Clause in Contracts

Termination by the Executive for Good Reason. If the Executive terminates this Agreement for good reason, the Employer will pay the Executive (i) the Executive's Salary for the remainder, if any, of the calendar month in which such termination is effective and for three consecutive calendar months thereafter, and (ii) that portion of the Executive's Incentive Compensation (including the number of shares included in the option provided for herein), if any, for the year during which the termination is effective, prorated through the date of termination based on the number of days in the year.

Termination by the Executive for Good Reason. If the Executive terminates this Agreement for good reason, the Employer will pay the Executive (i) the Executive's Salary for the remainder, if any, of the calendar month in which such termination is effective and for three twelve consecutive calendar months thereafter, and (ii) that portion of the Executive's Incentive Compensation (including the number of shares included in the option provided for herein), if any, for the year during which the termination is effective, prorated through the date of termination based on the number of days in the year.
