Common use of Termination by the Company for Cause or by the Executive other than for Good Reason Clause in Contracts

Termination by the Company for Cause or by the Executive other than for Good Reason. In the event of a termination by the Company of the Executive’s employment during the Contract Term for Cause or by the Executive other than for Good Reason, the Executive shall be entitled to the compensation and benefits ordinarily provided to senior executives of the Company upon termination of employment in accordance with the plans, programs and practices of the Company applicable to senior executives as in effect on the date of the Change in Control.

In the event of a termination by the Company of the Executive’s employment during the Contract Term for Cause or by the Executive other than for Good Reason, the Executive shall be entitled only to the compensation and benefits ordinarily provided to senior executives of the Company required by law upon termination of employment in accordance with and the plans, benefits otherwise due to the Executive under the applicable plans and programs and practices of the Company applicable to senior executives as in effect on Company, and the date benefits under Sections 5(F) and (G) of the Change in Controlthis Agreement and under Section 8(A)(5) of this Agreement.
