Termination by Parent and the Company. This Agree- ment may be terminated by Parent and the Company and the Transaction may be abandoned at any time prior to the Closing Date, (i) in the event of a material breach by Buyer of any covenant or agreement contained in this Agreement which, by its nature, cannot be cured prior to the Closing or which has not been cured within 30 days after the giving of written notice to Buyer of such breach, (ii) in the event of an inaccuracy of any representation or warranty of Buyer contained in this Agreement which, by its nature, cannot be cured prior to the Closing or which has not been cured within 30 days after the giving of written notice to the Buyer of such inaccuracy and which inaccuracy, in either case, would cause the conditions set forth in Section 6.3(a) not to be satisfied, or (iii) in the event that any of the conditions precedent to the obligations of Parent and the Company to consummate the Transaction cannot be satisfied or ful- filled by the date set forth in Section 7.2(ii) of this Agreement, provided that the failure of such conditions to be so satisfied shall not be as a result of Parent's or the Company's failure to fulfill its material obligations under this Agreement. 7.5

  • INDEMNIFICATION BY THE COMPANY AND THE OPERATING PARTNERSHIP The Company and the Operating Partnership shall indemnify and hold harmless the Advisor and its Affiliates, including their respective officers, directors, equity holders, partners and employees (the “Indemnitees,” and each an “Indemnitee”), from all liability, claims, damages or losses arising in the performance of their duties hereunder, and related expenses, including reasonable attorneys’ fees, to the extent such liability, claims, damages or losses and related expenses are not fully reimbursed by insurance, and to the extent that such indemnification would not be inconsistent with the laws of the State of Maryland, the Articles of Incorporation or the provisions of Section II.G of the NASAA REIT Guidelines.
