Common use of Termination by Licensor Clause in Contracts

Termination by Licensor. Licensor may terminate this Agreement upon written notice of termination for breach to Licensee if Licensee materially breaches any term of this Agreement and fails to cure such material breach to Licensor's reasonable satisfaction within thirty (30) days of receipt of notice of intent to terminate for breach from Licensor. Notwithstanding the generality of the foregoing, if, in Licensor's reasonable judgment, Licensee's breach materially infringes or impairs Licensor's intellectual property or other proprietary rights in the Software, Licensor may terminate this Agreement immediately.

Termination by Licensor. Licensor may terminate this Agreement immediately upon written notice of termination for breach to Licensee if Licensee materially breaches any term of this Agreement and fails to cure such material breach to Licensor's reasonable satisfaction within thirty (30) days of receipt of after receiving written notice of intent to terminate for breach from Licensor. Notwithstanding the generality of the foregoing, if, in Licensor's reasonable judgment, Licensee's breach materially infringes or impairs Licensor's intellectual property or other proprietary rights in the Software, Licensor may terminate this Agreement immediatelythereof.

Notwithstanding the generality of the foregoing, if, in Licensor's reasonable judgment, Licensee's breach materially infringes or impairs Licensor's intellectual property or other proprietary rights in the Software, Licensor may terminate this Agreement immediately.

Termination by Licensor. Licensor may terminate this Agreement by written notice to Licensee immediately upon written notice of termination for breach to Licensee if in the event that Licensee materially breaches any term of this Agreement and fails to cure correct such material breach to Licensor's reasonable satisfaction within thirty (30) days of receipt of written notice of intent to terminate for breach from Licensor. Notwithstanding the generality of the foregoing, if, in Licensor's reasonable judgment, Licensee's breach materially infringes or impairs Licensor's intellectual property or other proprietary rights in the Software, Licensor may terminate this Agreement immediatelydetailing such breach.

Termination by Licensor. Licensor may terminate this Agreement or any license granted hereunder upon written notice of termination for breach to if the Licensee if Licensee materially breaches any term of this Agreement in a material way (Material Breach) and fails to cure correct the breach within forty five (45) calendar days following written notice specifying the breach, or such material breach later period if the Licensee can demonstrate that it is acting in a reasonable and diligent manner to Licensor's reasonable satisfaction within thirty (30) days of receipt of notice of intent to terminate for breach from Licensor. Notwithstanding correct the generality of the foregoing, if, in Licensor's reasonable judgment, Licensee's breach materially infringes or impairs Licensor's intellectual property or other proprietary rights in the Software, Licensor may terminate this Agreement immediatelybreach.

Termination by Licensor. Licensor may terminate this Agreement (a) immediately upon written notice of termination for breach to Licensee if Licensee materially breaches any term of this Agreement and fails to cure such material breach to Licensor's reasonable satisfaction within thirty (30) business days after receiving written notice thereof; (b) at any time without cause, and without incurring any additional obligation, liability, or penalty, by providing at least 90 days’ prior written notice to Licensee; or (c) immediately if and when the Licensee’s Adviser ceases to be an Affiliate of receipt of notice of intent to terminate for breach from Licensor. Notwithstanding the generality of the foregoing, if, in Licensor's reasonable judgment, Licensee's breach materially infringes or impairs Licensor's intellectual property or other proprietary rights in the Software, Licensor may terminate this Agreement immediately.

Termination by Licensor. Licensor may terminate this Agreement upon immediately on written notice to Licensee, if Licensee is in material default of any provision of this Agreement that is not cured or addressed to the satisfaction of Licensor (acting reasonably) within 20 Business Days following written notice of termination for breach to Licensee if Licensee materially breaches any term of this Agreement and fails to cure such material breach to Licensor's reasonable satisfaction within thirty (30) days of receipt of notice of intent to terminate for breach the default from Licensor. Notwithstanding the generality of the foregoing, if, in Licensor's reasonable judgment, Licensee's breach materially infringes or impairs Licensor's intellectual property or other proprietary rights in the Software, Licensor may terminate this License Agreement immediately.— CMS Software Confidential
