Termination By Company Without Cause or Resignation by Executive for Good Reason. (a) The Company may terminate Executive’s employment at any time without Cause during the Employment Period from the position in which Executive is employed hereunder upon not less than thirty (30) days’ prior written notice to Executive. The Company shall have the discretion to terminate Executive’s employment during the notice period and pay continued Base Salary in lieu of notice. In addition, Executive may initiate a termination of employment under this Section 3.1 by resigning for Good Reason (in accordance with the notice and other provisions set forth in Section 3.7(b)).

Termination By Company Without Cause or Resignation by Executive for Good Reason. In the event that termination of this Agreement is by the Company without “Cause” or by Executive for “Good Reason,” in addition to the foregoing general payments, Executive shall receive (i) continuation of Base Annual Salary for three (3) years following the termination, at the rate in effect prior to the termination, payable in substantially equal monthly installments; (ii) medical insurance benefits for Executive and her eligible dependents for three (3) years, at active employee contribution rates, and (iii) executive level career transition assistance services by a firm mutually agreed upon However, in the event of a liquidation of the Company or any major restructuring of its operations, the balance of the severance compensation described above shall be promptly paid to Executive in a lump sum.
Termination By Company Without Cause or Resignation by Executive for Good Reason. In the event that termination of this Agreement is by the Company without "cause" or by Executive for "good reason," in addition to the foregoing general payments, Executive shall receive (i) an amount determined by prorating the Target Bonus for the year in which termination occurs through the date of termination, which amount shall be payable when executive bonuses are normally paid; (ii) an additional amount equal to the Base Annual Salary plus the Target Bonus for twelve (12) months following termination at the rate in effect prior to termination, payable in substantially monthly installments, which amount will increase after the first anniversary of the Start Date by one (1) month for each additional quarter worked, to a maximum of 18 months; (iii) medical and life insurance benefits for Executive and her eligible dependents for twelve (12) months concurrently at active employee contribution rates, which shall increase after the first anniversary of Start Date by one month for each additional quarter worked to a maximum of 18 months.; (iv) executive level career transition assistance services by a firm mutually agreed upon; and (v) full relocation back to Connecticut or comparable destination under the same relocation terms and conditions in effect for relocation to Illinois if Executive is not named Chief Executive Officer of the Company within six (6) months of the Start Date.

The amount described in 5.b.(ii) herein shall be paid on the first day of the month following a period of six (6) months after the termination of employment, provided that the payment may be made sooner if either (i) the amount does not exceed the IRC Safe Harbor or (ii) at the Executive’s election, the amount described in Section 5.a.(ii) is reduced to fit within the IRC Safe Harbor. No payment will be made pursuant to Section 5.a.(ii) unless the Executive has signed a Release Agreement which has become irrevocable prior to the payment date.

  • Termination Without Cause or by Executive for Good Reason (a) Company and Executive each reserve the right to terminate Executive’s employment at any time. If a Termination Date occurs due to Company terminating Executive without Cause or Executive terminating for Good Reason (as defined herein), then Company or its successor shall have no further obligations under this Agreement except that Company or its successor shall pay to Executive the amounts shown in Section 4.5(c) hereof.

All other Company obligations to Executive pursuant to this Agreement will become automatically terminated and completely extinguished. In addition, executive will not be entitled to receive the Severance Payment described in subparagraph 7.2 above.

  • Resignation by Executive for Good Reason (a) Provided Executive has not previously been notified of the Company’s intention to terminate Executive’s employment, Executive may resign from employment with the Company for Good Reason (as defined in Section 6.4(b) below).
