Common use of Termination and Liability for Breach of Agreement Clause in Contracts

Termination and Liability for Breach of Agreement. A breach of any provisions of this Agreement by a Party shall constitute a breach of this Agreement. The breaching Party shall fully and adequately indemnify the non-breaching Party. The non-breaching Party shall have the right to decide whether to continue the performance of or terminate this Agreement.
