Term of Purchased User Subscriptions. User subscriptions purchased by You commence on the start date specified in the applicable Order Form and continue for the Subscription Term specified therein. Except as otherwise specified in the applicable Order Form, all User subscriptions shall automatically renew for additional periods equal to the expiring Subscription Term or one year (whichever is shorter), unless either party gives the other notice of non-renewal at least 30 days before the end of the relevant Subscription Term. The per-unit pricing during any such renewal term shall be the same as that during the prior term unless We have given You written notice of a pricing increase at least 30 days before the end of such prior term, in which case the pricing increase shall be effective upon renewal and thereafter. Any such pricing increase shall not exceed 10% over the pricing for the relevant Services in the immediately prior Subscription Term, unless the pricing in such prior term was designated in the relevant Order Form as promotional or one- time.

User subscriptions purchased by You commence from the date of first release of the agreed services by us or otherwise stated specifically in the applicable Order Form and continue for the subscription term. All User subscriptions shall automatically renew for additional period(s) equal to atleast or minimum one year, unless otherwise specified in the order form. Either party may give the other, notice of non-renewal at least 30 days before the end of the relevant subscription term. The per-unit pricing during any such renewal term shall be the same as that during the prior term unless We have given You written notice of a pricing increase at least 15 days before the end of such prior term, in which case the pricing increase shall be effective upon renewal and thereafter.

Any such pricing increase shall not exceed 7% over the pricing for the relevant Services in the immediately prior subscription term, unless the pricing in such prior term was designated in the relevant Order Form as promotional or one-time. Should the cost of materials and labor raise significantly (i.e. more than 7%) at any time, We are entitled to adjust the price of Services accordingly by sending You a pre- notice of 30 days informing of the new price. If You don’t accept the price You may terminate the Service within 15 days from receiving our notice. If You don’t terminate the Agreement within the 15 days period, it shall be deemed that You accepted the new price, which shall be applicable as of the following month.

Except as otherwise specified in the applicable Purchase Order, all User subscriptions shall automatically renew for additional periods equal to the expiring subscription term unless either party gives the other notice of nonrenewal at least 30 days before the end of the relevant subscription term. The per-unit pricing during any such renewal term shall be the same as that during the prior term unless We have given You written notice of a pricing increase in the form of email notification/renewal quote/sales order at least 30 days before the end of such prior term, in which case the pricing increase shall be effective upon renewal and after that. You may cancel a free evaluation of Our Services and Software Products anytime during the free evaluation period and incur no charge. For all User Subscriptions you may cancel during the first 30 days (calculated from the start date specified in the applicable Purchase Order) and receive a full refund. If the cancellation occurs after 30 days from the subscription start date, you won’t be eligible for a refund and no refund will be issued. If you cancel your subscription and not eligible for a refund, you will retain access to the User Subscription until it expires.

User subscriptions purchased by You commence on the start date specified in the applicable Order Form accepted by Maximizer and continue for the subscription term specified in the Order Form. Except as otherwise specified in the applicable Order Form, all User subscriptions will automatically renew for additional periods equal to the expiring subscription term unless either party gives the other written notice of non-renewal at least 90 days before the end of the relevant subscription term. The per-unit pricing during any such renewal term will be at Maximizer’s then current list price for the Purchased Services for such time period which will be made available to You by Maximizer on request.

The per-unit pricing during any such renewal term shall be the same as that during the prior term unless We have given You written notice of a pricing increase at least 30 days before the end of such prior term, in which case the pricing increase shall be effective upon renewal and thereafter.
Term of Purchased User Subscriptions. User subscriptions purchased by Merchant commence on the date when a User first registers for the Services offered by a Merchant and continue until the earlier of User deregistration or termination of this Agreement. For purposes of billing, User subscriptions will be calculated toward the Service Fee calculation for the billing period immediately following any given month in which the User subscription was activated, either partially or fully, regardless of when during the preceding month a User subscription is activated or terminated. As its exclusive audit measure, Merchant retains the right to ask Early Impact once during each twelve month period for a report on User subscription activations and terminations for the preceding twelve months.
