Common use of Term and Expiration Clause in Contracts

Term and Expiration. The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11, shall continue in full force and effect, on a country-by-country and Product-by-Product basis until the date on which the Royalty Term in such country with respect to such Product expires, at which time this Agreement shall expire in its entirety with respect to such Product in such country and the terms of Section 11.5(b)(i) shall apply.

Term and Expiration. The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11Article 12, shall continue in full force and effect, on a country-by-country and Product-by-Licensed Product by Licensed Product basis until the date on which the Royalty Term in such country with respect to such Licensed Product expires, at which time this Agreement shall expire in its entirety with respect to such Licensed Product in such country and the terms of Section 11.5(b)(iArticle 12.5(b)(i) shall apply.

Term and Expiration. The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless terminated earlier terminated as provided in pursuant to this ARTICLE 11Section 12, shall continue in full force and effect, expire on a Product-by-Product and country-by-country and Product-by-Product basis until upon the date on expiration of all payment obligations under Section 8, after which the Royalty Term licenses granted by FivePrime to BMS in such country with respect to such Product expires, at which time this Agreement shall expire in its entirety Section 6 with respect to such Product in such country shall become fully paid-up, perpetual and the terms of Section 11.5(b)(i) shall applynon-exclusive.

The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11Article 12, shall continue in full force and effect, on a country-by-country and Product-by-Product basis until the date on which the Royalty Term in such country with respect to such Product expires, at which time this Agreement shall expire in its entirety with respect to such Product in such country and the terms of Section 11.5(b)(i12.4(c)(i) shall apply.

The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE Article 11, shall continue in full force and effect, on a country-by-country and Product-by-Product basis until the date on which the Royalty Term in such country with respect to such Product expires, at which time this Agreement shall expire in its entirety with respect to such Product in such country and the terms of Section 11.5(b)(i11.5.2(a) shall apply.

Term and Expiration. The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless terminated earlier terminated as provided in pursuant to this ARTICLE 11Article 11 (Term and Termination), shall continue in full force and effect, expire (a) on a Licensed Product-by-Licensed Product and country-by-country and Product-by-Product basis until upon the date on which expiration of the Royalty Term in for such country with respect to such Product expires, at which time this Agreement shall expire in its entirety with respect to such Licensed Product in such country and (b) in its entirety upon expiration of all applicable Royalty Terms under this Agreement with respect to all Licensed Products in all countries in the terms of Section 11.5(b)(i) shall applyTerritory.

The term of this Termination Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11Article 9, shall continue in full force and effect, on a country-by-country and Product-by-Product basis until the date on which the Royalty Term in such country with respect to such Licensed Product expires, at which time this Agreement shall expire in its entirety with respect to such Licensed Product in such country and country. Upon expiry of the terms of Section 11.5(b)(i) Royalty Term in all countries, this Agreement shall applyexpire in its entirety.

Term and Expiration. The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11Article 13, shall continue in full force and effect, on a countryRegion-by-country and Product-by-Product Region basis until the date on which the Royalty Term in such country Region with respect to such the Licensed Product expires, at which time this Agreement shall expire in its entirety with respect to such the Licensed Product in such country Region and the terms of Section 11.5(b)(i13.7(b)(i) shall apply.

Term and Expiration. The Subject to ‎Article 11, the term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11‎Article 10, shall continue in full force and effect, on a country-by-country and Product-by-Product basis basis, until the date on which expiration of the Royalty Term for the applicable Product in such country with respect to such Product expires, at which time country; provided that this Agreement shall expire terminate in its entirety with respect upon the last to such Product in such country and the terms of Section 11.5(b)(i) shall applyexpire Royalty Term.

The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11Article 10, shall continue in full force and effect, on a country-by-country and Licensed Product-by-Licensed Product basis until the date on which the Royalty Term in such country with respect to such Licensed Product expires, at which time this Agreement shall expire in its entirety with respect to such Licensed Product in such country and the terms of Section 11.5(b)(i10.4(b)(i) shall apply.

The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11Article XIII, shall continue in full force and effect, effect on a countryRegion-by-country and Product-by-Product Region basis until the date on which the Royalty Term in such country Region with respect to such the Licensed Product expires, at which time this Agreement shall expire in its entirety with respect to such the Licensed Product in such country Region, and the terms of Section 11.5(b)(i13.5(b)(i) shall apply.

Term and Expiration. The term of this Agreement (the “Term”) shall commence on the Effective Date and, unless earlier terminated as provided in this ARTICLE 11Article 10 (the date of any such termination, the “Termination Date”), shall continue in full force and effect, on a country-by-country and Licensed Product-by-Licensed Product basis until the date on which the Royalty Term there is no remaining royalty or other payment obligation in such country with respect to such Product expiresLicensed Product, at which time this Agreement shall expire in its entirety with respect to such Licensed Product in such country and the terms of Section 11.5(b)(i) shall applycountry.
