Common use of Tenant Liability Clause in Contracts

Tenant Liability. Except as otherwise provided in this Lease, and to the extent permitted by law, Tenant assumes all risks of loss or damage to property and injury or death to persons by reason of, or incident to, the possession and/or use of the Leased Premises by the Tenant, the Tenant’s officers, agents, servants, employees, or others (excluding those employees or agents of the Landlord (City) who are on the Leased Premises for the purpose of performing official duties) who may be on the Leased Premises at their invitation or the invitation of any one of them (the “Tenant Parties”), or the activities conducted by or on behalf of the Tenant Parties under this Lease. The Tenant expressly waives all claims against the Landlord (City) for any such loss, damage, bodily injury, or death caused by, or occurring as a consequence of, such possession and/or use of the Leased Premises by the Tenant Parties, or the conduct of activities or the performance of responsibilities under this Lease. Upon the request of the Landlord (City), Tenant agrees to request the execution of hold harmless agreements from the Tenant’s employees, students, contractors, vendors, officers, agents, servants, or other invitees, known by Tenant to be and remain in attendance on the Leased Premises for the entire period of daily school operations; this does not include persons or entities who may be on the Leased Premises for periods of less than the entire period of daily school operations. Such agreements will be provided by the Landlord (City) for Tenant’s use. If upon request of the Landlord (City) to obtain such agreements and upon request of Tenant to execute such agreements, any individual refuses to execute such agreement, the Landlord (City) will not hold Tenant in violation of the terms of this Lease, nor, because of such refusal alone, deny the person or entity access to the Leased Premises; however, the Tenant will notify the Landlord (City) of the persons and/or entities refusing to sign the agreements. Nothing herein shall require Tenant to coerce or encourage parties to execute these agreements.

Tenant Liability. Except as otherwise provided In an Event of Default, if Landlord accelerates the rent and other charges, then Tenant shall immediately pay to Landlord in one lump the present worth of all Rent for the balance of the Term of this Lease. For purposes of this Section 20.01, “present worth” shall be computed by discounting such amount to present worth at a discount rate equal to ten percent (10%) per annum. In an Event of Default if Landlord retakes possession of the Premises for the account of the Tenant, then Tenant shall be responsible for any unpaid rent or other charges through the date of repossession, together with all rent or other charges as the same becomes due under the Lease and any all reasonable expenses incurred by Landlord in re-entering the Premises, repossessing the same, making good any default of Tenant, painting, altering or dividing the Premises, combining the same with any adjacent space for any new tenants, putting the same in proper repair, re-letting the same (including any and all reasonable attorneys’ fees and disbursements and reasonable brokerage fees incurred in so doing), and any and all expenses which Landlord may incur during the occupancy of any new tenant (other than expenses of a type that are Landlord’s responsibility under the terms of this Lease), less the net proceeds of any re-letting, to the extent permitted that the proceeds are less than or equal to the amount due above. Tenant agrees to pay to Landlord such sum during the Term, at the end of such month. Any suit brought by lawLandlord to enforce collection of such difference for any one month shall not prejudice Landlord’s right to enforce the collection of any difference for any subsequent month. In addition to the foregoing, Tenant assumes all risks shall pay to Landlord such sums as the court may adjudge reasonable as attorneys’ fees with respect to any successful law suit or action instituted by Landlord to enforce the provisions of loss this Lease. Landlord shall have the right, at its sole option, to re-let the whole or damage to property and injury or death to persons by reason of, or incident to, the possession and/or use any part of the Leased Premises by the Tenant, the Tenant’s officers, agents, servants, employees, or others (excluding those employees or agents of the Landlord (City) who are on the Leased Premises for the purpose whole of performing official duties) who may be on the Leased Premises at their invitation or the invitation of any one of them (the “Tenant Parties”)unexpired Term, or longer, or from time to time for shorter periods, for any rental then obtainable, giving such concessions of rent and making such special repairs, alterations, decorations and paintings for any new tenant as Landlord, in its sole and absolute discretion, may deem advisable. Tenant’s liability as aforesaid shall survive the activities conducted by or on behalf institution of summary proceedings to recover possession of the Tenant Parties under this Lease. The Tenant expressly waives all claims against the Landlord (City) for any such loss, damage, bodily injury, or death caused by, or occurring as a consequence of, such possession and/or use of the Leased Premises by the Tenant Parties, or the conduct of activities or the performance of responsibilities under this Lease.
