Temporary Emergency Changes. Notwithstanding the foregoing, Successful Respondent may make temporary changes required by an emergency if it has been unable to contact the Designated DIR Representative to obtain approval after making reasonable efforts. Successful Respondent shall document and report such emergency changes to DIR not later than the next DIR Business Day after the change is made. Such changes shall not be implemented on a permanent basis unless and until approved by DIR.
Temporary Emergency Changes. Notwithstanding the foregoing, Service Provider may make temporary changes required by an emergency if it has been unable to contact the DIR Data Center Services Manager to obtain approval after making reasonable efforts. Service Provider shall document and report such emergency changes to DIR not later than the next Business Day after the change is made. Such changes shall not be implemented on a permanent basis unless and until approved by DIR.

Notwithstanding the foregoing, Supplier may make temporary changes required by an emergency if it has been unable to contact the Kraft Contract Manager or his or her designee to obtain approval after making reasonable efforts. Supplier shall document and report such emergency changes to Kraft not later than the next business day after the change is made. Such changes shall not be implemented on a permanent basis unless and until approved by Kraft.

Notwithstanding the foregoing, CSC may make temporary System Changes required by an emergency if it has been unable to contact the Sears Relationship Manager to obtain approval after making reasonable efforts. CSC shall document and report such emergency changes to Sears not later than the next Business Day after the change is made. Such System Changes shall not be implemented on a permanent basis unless and until approved by Sears.

Notwithstanding anything to the contrary in this Section 9.6, Supplier may make temporary System Changes required by an emergency if it has been unable to contact the ABM Contract Manager to obtain approval after making reasonable efforts. Supplier shall document and report such emergency changes to ABM as soon as practicable, but in no event later than two (2) business days after the change is made. Such System Changes shall not be implemented on a permanent basis unless and until approved by ABM.

Notwithstanding the foregoing, Supplier may make temporary changes required by an emergency if it has been unable to contact the Allianz Relationship Manager or his or her designee to obtain approval after making reasonable efforts. Supplier shall document and report such emergency changes to Allianz not later than the next business day after the change is made. Such changes shall not be implemented on a permanent basis unless and until approved by Allianz.

Notwithstanding the foregoing, Service Provider may make temporary changes required by an emergency if it has been unable to contact the Allegheny Contract Executive or his or her designee to obtain approval after making reasonable efforts. Service Provider shall document and report such emergency changes to Allegheny not later than the next business day after the change is made. Such changes shall not be implemented on a permanent basis unless and until approved by Allegheny.

Notwithstanding anything to the contrary in this Agreement, Supplier may make temporary changes required by an emergency if it has been unable to contact New Century to obtain approval after making reasonable efforts. Supplier shall document and report such emergency changes to New Century not later than the next business day after the change is made. Such changes shall not be implemented on a permanent basis unless and until approved by New Century.

Notwithstanding the foregoing, Supplier may make temporary Changes required by an emergency if it has been unable to contact the Triad Project Executive or his or her designee to obtain approval after making reasonable efforts. Supplier shall document and report such emergency Changes to Triad not later than the next business day after the Change is made. Such Changes shall not be implemented on a permanent basis unless and until approved by Triad.

Notwithstanding the foregoing, Provider may make temporary changes to the Services required by an emergency if Provider has been unable to contact the appropriate representative under the applicable Customer SOW to obtain approval after making reasonable efforts. Provider shall document and report such emergency changes to such representative no later than the next Business Day after the changes are made. Such changes shall not be implemented on a permanent basis unless and until approved via the Change Order Procedures. A Customer Party shall not be obligated to pay any amounts with respect to such changes without its approval or its determination, not to be unreasonably withheld, that such changes were reasonably required. In addition, any Customer Party may, if it is subject to an emergency warranting on a temporary basis Services additional to those provided under the applicable Customer SOW, acquire such Services and Provider will use [[[***]]] CONFIDENTIAL TREATMENT REQUESTED. CONFIDENTIAL PORTIONS HAVE BEEN REDACTED AND FILED SEPARATELY WITH THE COMMISSION. Confidential Information of GE and Genpact best efforts to the extent of a similarly situated provider of services to accommodate any such emergency request for additional Services and charge the Customer Party at a rate not to exceed the amounts specified in the Customer SOW plus an additional amount not to exceed Provider’s incremental cost (including the Affiliated Providers’ incremental cost, calculated so as not to include any incremental cost twice and without any markup between Affiliated Providers and Provider) incremental cost associated with the emergency nature of the assignment; provided that no such Customer-initiated emergency arrangement shall be effective for more than ten (10) Business Days without approval through the Change Order Procedures.
