Technical Elements. In performing the Work, the Contractor may use certain data, modules, components, designs, utilities, subsets, objects, program listings, tools, models, methodologies, programs, systems, analysis frameworks, leading practices, and specifications developed or used by Contractor or its licensors, or to which the Contractor otherwise has rights, including all additions, improvements and modifications made thereto in the course of the Contractor performing the Work (collectively, “Technical Elements”). The State shall have no rights in or to the Technical Elements, except with respect to Technical Elements solely to the extent necessary for the State to use the Deliverables as permitted by this Agreement. The Contractor retains all right to use its knowledge, experience and know-how, including the Technical Elements, in providing services to other clients.

  • Neutral Elements In order to determine whether a product originates, it shall not be necessary to determine the origin of the following which might be used in its manufacture:

  • TECHNICAL TASKS Products that require a draft version are indicated by marking “(draft and final)” after the product name in the “Products” section of the task/subtask. When specifications and drawings are provided or referenced by the County, these are to be considered part of the Scope of Work, and to be specifically documented in the Detailed Scope of Work. For convenience, the County supplied specifications, if any, and the Technical Specifications furnished on the CD.

  • Standards for Network Elements 1.8.1 BellSouth shall comply with the requirements set forth in the technical references, as well as any performance or other requirements identified in this Agreement, to the extent that they are consistent with the greater of BellSouth’s actual performance or applicable industry standards.

  • Technical Consultations 1. A Party may initiate technical consultations with another Party through the respective contact points with the aim of resolving any matter arising under this Chapter.

  • Contractor’s Project Manager and Key Personnel Contractor shall appoint a Project Manager to direct the Contractor’s efforts in fulfilling Contractor’s obligations under this Contract. This Project Manager shall be subject to approval by the County and shall not be changed without the written consent of the County’s Project Manager, which consent shall not be unreasonably withheld. The Contractor’s Project Manager shall be assigned to this project for the duration of the Contract and shall diligently pursue all work and services to meet the project time lines. The County’s Project Manager shall have the right to require the removal and replacement of the Contractor’s Project Manager from providing services to the County under this Contract. The County’s Project manager shall notify the Contractor in writing of such action. The Contractor shall accomplish the removal within five (5) business days after written notice by the County’s Project Manager. The County’s Project Manager shall review and approve the appointment of the replacement for the Contractor’s Project Manager.
