Technical Audit. (a) In accordance with Applicable Law, the Contractor shall provide any authorities of Timor-Leste which responsible for any of the Contractor’s activities, with relevant information and allow them free access.
Technical Audit. Customer shall provide to HMH the information required for HMH to assess the sufficiency of HMH’s systems and technical infrastructure (e.g., bandwidth and hardware configuration) to properly access and use the Hosting Environment, Hosting Services and hosted Software (such assessment, a “Technical Audit”). Customer has the sole responsibility for ensuring that such information is accurate. HMH shall have no responsibility for ensuring that such information is accurate or for making corrections if the Software or Services do not work properly because of an inaccuracy in the HMH Technical Audit. The completed HMH Technical Audit for Customer is incorporated herein by reference. If a Technical Audit reveals that Customer’s systems or technical infrastructure does not meet HMH’s recommended specifications for access to or use of the Hosting Environment, Hosting Services or hosted Software and Customer elects to purchase Hosting Services notwithstanding such assessment, HMH shall not be responsible or have any liability for the inability of Customer to access or use the Hosting Environment, Hosting Services, or hosted Software.
Technical Audit a) The work is liable to be technically audited by the Chief Technical Examiner of the Central Vigilance Commission Government of India from time to time. Any defects, improvements or testing etc. pointed out by the Chief Technical Examiner should be carried out by the Contractor at his own cost and any deduction suggested by the CTE will be effected.
Technical Audit. Customer shall provide to Scholastic the information required in the Scholastic Technical Audit. Customer has the sole responsibility for ensuring that such information is accurate. Scholastic shall have no responsibility for ensuring that such information is accurate or for making corrections if the Software or Services do not wo rk properly because of an inaccuracy in the Scholastic Technical Audit. The completed Scholastic Technical Audit for Customer is incorporated herein by reference.
Technical Audit. (a) NAV CANADA shall, at the Minister’s request and at no cost to the Minister, provide promptly any information determined by the Minister, acting reasonably, to be necessary to enable the Minister to determine if NAV CANADA is performing its duties under this Agreement.
Technical Audit. Exabyte shall be entitled, upon reasonable notice to Teleplan, to inspect and review Teleplan's facility and repair procedures to assess Teleplan's compliance with Exabyte's quality standards as set forth in the Statement of Work. Such audits may be conducted at Exabyte's option. Any deficiencies noted will be presented to Teleplan by Exabyte in writing and will be addressed by Teleplan within 5 days by submission to Exabyte of corrective action plans, each of which will provide a timetable, subject to Exabyte's approval, for corrective action. Following successful completion of these audits, Teleplan shall receive written notification from Exabyte that Teleplan's Depot Repair Services comply with Exabyte's policies and procedures, and Teleplan shall be entitled to disclose same to potential customers of Teleplan. Any such audit shall be scheduled so as not to unreasonably interfere with Teleplan's activities.
Technical Audit. Upon at least ten (10) calendar days’ notice from Publisher, Xxxxx shall provide Publisher, and any of Publisher’s designated agents, or Publisher’s regulators with access to (a) facilities where Xxxxx is performing Services, (b) Xxxxx personnel, and (c) data and records relating to the Services, as well as any assistance that they may require for the purpose of performing audits or inspections of the Services, the locations from which Xxxxx provides the Services (including computer systems), and the business of Publisher relating to the Services (including to verify performance of the Services, the use of Publisher resources in accordance with the terms of this Agreement, the conduct of Xxxxx’x operations and procedures.

Technical Audit. In order for Athenex to determine whether the Supplier is operating in accordance with the provisions of this Agreement and to ensure the adequacy of its supply of Products, the Supplier agrees to allow Athenex or an agent or nominee of Athenex (which may include any Athenex sublicensee), upon no less than ten (10) calendar days’ prior notice and at Athenex’s expense, to periodically inspect any and all facilities, technical quality assurance and quality control records, inventory of Products (including API compounds) and any other manufacture related materials and associated business functions relating to the manufacture, testing and supply of Products to be provided pursuant to this Agreement and/or performance of the Supplier’s obligations under this Agreement.
Technical Audit. Once a year during the Term of this Agreement and for three (3) years thereafter, EMI, at EMI’s initial expense and upon no less than ten (10) days’ notice to Distributor (except in the case of fraud or suspected fraud in which case EMI and its representatives shall be entitled to immediate access), shall have the right to conduct a technical audit of Distributor’s (and any Distributor Affiliate’s or Third Party Contractor’s) facilities and operations to assess compliance with the terms of this Agreement. Distributor shall, and shall cause any Approved Third Party to, cooperate with EMI and its representatives in the performance of the audit and, without limitation, shall ensure their full and unrestricted access to (i) the premises and systems used to store, manage, process and distribute or transmit the EMI Content, including, without limitation, those used to make it available to End Users; and (ii) Distributor’s and such other third parties’ applicable personnel. If such audit determines that Distributor is not in compliance with the terms of this Agreement, EMI shall, without prejudice to any other rights or remedies which may be available to Distributor, notify Distributor and Distributor shall promptly take all necessary steps to remedy that non-compliance in a manner satisfactory to EMI.
