Taxes and Similar Fees. In addition to the payment obligation in Section 2, Company is responsible for the payment of any and all income, sales, use, consumption, value added, excise, custom duties or other taxes and similar fees in connection with this Agreement, levied or required to be withheld from payment(s) to University by any taxing authority or any other body having jurisdiction under any present or future laws. To the extent that Company is required to withhold or deduct taxes or similar fees on any payment to be made to University, then the amount payable shall be increased by the amount that will result in University receiving a net payment in the amount it would have received absent such withholding or deduction. If University is required to pay any of such fees and/or taxes or any related penalties or interest, then any such payments shall be reimbursed to University by Company.

Taxes and Similar Fees. Customer shall be responsible for all applicable taxes, fees, and surcharges that WTI is required by any government agency to assess in connection with WTI’s provision of Services and Equipment and shall also be responsible for amounts that WTI is permitted to bill Customer as compensation for contributions to the federal Universal Service Fund or other government-mandated programs, all of which are referred to herein as “Applicable Taxes”. Customer shall also be responsible for paying all property taxes and other assessments on rented Equipment. If Customer claims to be exempt from any Applicable Taxes, Customer must, prior to the date of WTI’s invoice for such taxes, provide WTI with a valid exemption certificate in a form reasonably satisfactory to WTI establishing Customer’s exemption. Tax exemption certificates and updates may be sent to: WTI, 000 X. Xxxxxxxxxx Xxx., Xxxxx 000, Xxxxx Xxx, XX 00000. Notwithstanding Customer’s actual exemption from any Applicable Taxes, Customer shall be obligated to remit payment to WTI for all Applicable Taxes that are included on WTI’s invoices to Customer prior to WTI’s receipt of such exemption certificates

  • Transfer Fees and Taxes If any of the Common Shares subscribed for are to be issued to a person or persons other than the Registered Warrantholder, the Registered Warrantholder shall execute the form of transfer and will comply with such reasonable requirements as the Warrant Agent may stipulate and will pay to the Corporation or the Warrant Agent on behalf of the Corporation, all applicable transfer or similar taxes and the Corporation will not be required to issue or deliver certificates evidencing Common Shares unless or until such Warrantholder shall have paid to the Corporation or the Warrant Agent on behalf of the Corporation, the amount of such tax or shall have established to the satisfaction of the Corporation and the Warrant Agent that such tax has been paid or that no tax is due.

  • Taxes and Fees Each Party shall pay any and all transfer and registration tax, expenses and fees incurred thereby or levied thereon in accordance with the laws of China in connection with the preparation and execution of this Agreement and the Transfer Contracts, as well as the consummation of the transactions contemplated under this Agreement and the Transfer Contracts.

Extraordinary charges resulting from unusual administrative responsibilities not contemplated by the schedule will be subject to such additional charges as will reasonably compensate the Custodian. Fees will be charged for any liquidation including transferring to a successor trustee or custodian. The fee will be taken from the remaining balance of the account in the event of a partial liquidation. The fee will be taken from the proceeds in the event of a total liquidation and the balance of the account will be forwarded in accordance with the depositor’s instructions.
