Tax Returns Required to be. Filed on or prior to the Closing Date. Emergent and its Subsidiaries shall file all federal, state, local and foreign Tax Returns required to be filed by each of them on or prior to the Closing Date, subject to legally permitted extensions, and Emergent shall pay any and all Taxes due with respect to such returns. All Tax Returns described in this Section 12.1 shall be prepared in a manner consistent with prior practice unless a past practice has been finally determined to be incorrect by the applicable Tax Authority or a contrary treatment is required by applicable Tax laws (or judicial or administrative interpretations thereof).
