TAX CHARACTERIZATION AND ADDITIONAL TAX TERMS. For federal income tax purposes, and to the extent applicable for state and local income and franchise tax purposes, it is intended that the Company be disregarded as an entity separate from the Member; provided, however, if it is determined that there are two or more members of the Company then it is intended that the Company be treated as a partnership for such purposes, and the Managing Member shall (i) file any information returns and reports and make any elections or take any other similar action required for the Company to be classified as a partnership for such purposes and (ii) act as the tax matters partner of the Company pursuant to Section 6231(a)(7) of the Code and applicable Tax Regulations.

For such purpose, (i) the Company shall be subject to all of the provisions of Subchapter K of Chapter 1 of Subtitle A of the Code, (ii) all references to a "Partner," to "Partners" and to the "Partnership" in this Agreement (including the provisions of the Code and Tax Regulations cited in this Agreement) shall be deemed to refer to a Member, the Members and the Company, respectively. In addition, the following terms shall have the following meanings:
TAX CHARACTERIZATION AND ADDITIONAL TAX TERMS. It is intended that the Company be characterized and treated as a partnership for, and solely for, federal, state and local income and franchise tax purposes. Unless otherwise required by appropriate tax authorities, the Company will file or cause to be filed annual or other necessary returns, reports and other forms consistent with the characterization of the Company as a partnership for such tax purposes, including, to the extent necessary or appropriate to insure such partnership characterization, an affirmative election to be treated as a partnership under any future procedure promulgated by the Internal Revenue Service as contemplated by Notice 95-14 and Proposed Regulation section 301.7701-3. For the foregoing purposes, (i) the Company shall be subject to all of the provisions of Subchapter K of Chapter 1 of Subtitle A of the Code, (ii) all references to a "Partner," to "Partners" and to the "Partnership" in this Company Agreement (including -4- the provisions of Articles VIII and IX) and in the provisions of the Code and Regulations cited in this Company Agreement shall be deemed to refer to a Member, the Members and the Company, respectively.   • Tax Characterization Each party to this Agreement (a) acknowledges that it is the intent of the parties to this Agreement that, for accounting purposes and for all Federal, state and local income and franchise tax purposes, the Series 2009-1 Notes will be treated as evidence of indebtedness, (b) agrees to treat the Series 2009-1 Notes for all such purposes as indebtedness and (c) agrees that the provisions of the Related Documents shall be construed to further these intentions.

  • Income Tax Characterization For purposes of federal income, state and local income and franchise and any other income taxes, the Issuer will, and each Noteholder by such Noteholder’s acceptance of any such Notes (and each Person who acquires an interest in any Notes through such Noteholder, by the acceptance by such Person of an interest in the applicable Notes) agrees to, treat the Notes that are characterized as indebtedness at the time of their issuance, and hereby instructs the Issuer to treat such Notes, as indebtedness for federal, state and other tax reporting purposes. The provisions of this Indenture shall be construed in furtherance of the foregoing intended tax treatment.

  • Tax Characterization and Returns Until such time as the Company shall have more than one member, it is the intention of the Member that the Company be disregarded for federal and all relevant state tax purposes and that the activities of the Company be deemed to be activities of the Member for such purposes. All provisions of the Company’s Certificate of Formation and this Agreement are to be construed so as to preserve that tax status. The Member is hereby authorized to file any necessary elections with any tax authorities and shall be required to file any necessary tax returns on behalf of the Company with any such tax authorities.

  • Additional Tax Provisions The definition of “Indemnifiable Tax” in Section 14 of this Agreement is modified by adding the following at the end thereof:

  • Payee Tax Representations Each representation specified in the Schedule as being made by it for the purpose of this Section 3(f) is accurate and true.
