Task Work Orders. Task Work Order Contracts may be issued at any time during the Initial Contract Term and any Renewal Contract Term. A Task Work Order Contract will authorize the Contractor to perform the Work for a lump sum amount at the marked up hourly rates agreed to and set forth in the Fee Schedule. The maximum fee allowed by law for any individual Task Work Order Contract, which includes all fees and reimbursable expenses and contingencies, shall not exceed the total set in Section 4-102 (2) A. of the APS Procurement Resolution, as amended or the Virginia Public Procurement Act. Provided, however, the Contractor shall not commence work under any Task Work Order Contract until a Purchase Order from the Procurement Agent or designee has been received. It is understood that more than one Task Work Order Contract may, at the Owner's sole discretion, be offered to the Contractor during the Initial Contract Term and any Renewal Contract Terms. Although the potential exists for multiple Task Work Order Contracts being offered to the Contractor during the Initial Contract Term and Renewal Contract Terms, the maximum fees allowed by law for the aggregate of all individual Task Work Order Contracts, which includes all fees and reimbursable expenses and contingencies, shall not exceed the total set in Section 4-102 (2) A. of the APS Procurement Resolution, as amended or the Virginia Public Procurement Act. APS does not represent or guarantee that the Contractor will receive any Task Work Order Contracts.

Task Work Orders. All projects conducted under this Agreement will be defined by written Task Work Orders as outlined below. The Contractor will not be compensated for time spent in the preparation of Task Work Order Plans. Preparation of Task Work Order Plans is considered covered by the Contractor’s overhead expenses. The following steps will be followed for all Task Work Orders:
Task Work Orders. For each assigned initiative, a Task Work Order will be developed. A NYSERDA point person will be designated to manage the specific training and work performed under the Task Work Order. Initiative details and specific standard operating procedures will be provided to the Contractor during Task Work Order development or upon start of work. For each Task Work Order, the Contractor is expected to: • Provide qualified individuals to complete the work as requested; • Develop an approach and budget for review and approval by NYSERDA according to the task(s) assigned; • Upon agreement by both NYSERDA and the Contractor, provide the required assistance within the agreed upon time frames. • Submit required deliverables to NYSERDA for review and approval. • Provide required documentation of expenditures by task based on the approved Task Work Order when seeking payment from NYSERDA. The Task Work Order must assure that appropriate staff and resources will be available for the services requested as well as general day-to-day support of the initiative assigned. If NYSERDA determines that the parties will be unable to reach agreement on the terms of the Task Work Order, NYSERDA may rescind the Task Work Order at its sole discretion. When NYSERDA finds the terms of the proposed Task Work Order acceptable and has issued a Notice to Proceed on a Task Work Order, the Contractor shall carry out the work pursuant to the requirements of such Task Work Order. The work set forth in the Task Work Order shall, upon its issuance by NYSERDA, constitute Work to be performed by the Contractor under this Agreement. NYSERDA will compensate Contractor for hours the Contractor’s employee works on assignment as outlined in each Task Work Order, up to a maximum of 40hrs per week unless approved in writing by NYSERDA in advance. Travel may be reimbursed if approved in writing by NYSERDA in advance. No other costs will be reimbursed by NYSERDA. If Contractor staff is considered working full time on NYSERDA assignment, Contractor’s staff cannot have other recurring obligations within their company, unless agreed upon by NYSERDA. If Contractor’s employees are required to take company training while on assignment at NYSERDA, the Contractor shall not bill for hours worked while receiving such training. On a quarterly basis, clear communication from the Contractor must be delivered to NYSERDA as to when training will occur during the next calendar quarter. When NYSERDA office locations are close...
Task Work Orders. Each project conducted under this Agreement will be defined by a project specific written Task Work Order. The following will be followed for all Task Work Orders:
Task Work Orders. The DEPARTMENT will provide, before the initiation of any work on any of the tasks defined in this exhibit, a specific Task Work Order defining the work to be accomplished and the total reimbursement due the CONSULTANT.
Task Work Orders. The Department shall furnish a Task Work Order to the Consultant for the assignment of individual tasks. The Task Work Order shall identify the assigned project, specify the services to be performed, and state the compensation for the services. The Task Work Order shall be signed by the Department's Project Manager. No work will be commenced by the Consultant until a Task Work Order has been issued.
Task Work Orders. All projects conducted under this Agreement will be defined by a project-specific, written Task Work Order. The Contractor shall be responsible for completing various tasks dependent on the level and type of services requested by NY Green Bank. Notwithstanding any other provision in this Agreement, the Contractor will adhere to the following for all Task Work Orders: • Develop and work with NY Green Bank to refine Task Work Order Statement of Work, proceeding only once NY Green Bank has provided written approval; • Prepare and work with NY Green Bank to refine Budget, proceeding only once NY Green Bank has provided written approval; • Upon agreement by all parties to the Task Work Order Statement of Work and Budget, provide the required assistance within the agreed upon time frame; • Make appropriate staff and equipment resources available to complete the Task Work Order Statement of Work on approved Budget; • Provide periodic status updates to NY Green Bank, as requested; • Notify NY Green Bank of delays or anticipated cost overruns as soon as either are identified; • Submit Deliverables to NY Green Bank for review and approval; • Prepare and submit invoices (pursuant to Section 4.02) to NY Green Bank for review and approval; • All NY Green Bank established policies and procedures; and • Acknowledge that NY Green Bank reserves the right to modify any component of an approved Task Work Order at any time.

  • Work Orders If the Contract is for indefinite quantities of Services, as specified in the Signature Document, all Work will be performed in accordance with properly executed Work Orders.

  • Stop Work Orders A. The JBE may, at any time, by Notice to Contractor, require Contractor to stop all or any part of the Services for a period up to ninety (90) days after the Notice is delivered to Contractor, and for any further period to which the parties may agree (“Stop Work Order”). The Stop Work Order shall be specifically identified as such and shall indicate it is issued under this provision. Upon receipt of the Stop Work Order, Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the Services covered by the Stop Work Order during the period of stoppage. Within ninety (90) days after a Stop Work Order is delivered to Contractor, or within any extension of that period to which the parties shall have agreed, the JBE shall either (i) cancel the Stop Work Order; or (ii) terminate the Services covered by the Stop Work Order as provided for in this Agreement.

  • Task Orders All orders issued hereunder are subject to the terms and conditions of this contract. The contract shall control in the event of conflict with any order. When mailed, an order shall be "issued" for purposes of this contract at the time the Government deposits the order in the mail, or, if transmitted by other means, when physically delivered to the contractor.

  • Work Order (s) means a detailed scope of work for a Service required by Transnet, including timeframes, Deliverable, Fees and costs for the supply of the Service to Transnet, which may be appended to this Agreement from time to time.

  • Statement of Work The Contractor shall provide the services and staff, and otherwise do all things necessary for or incidental to the performance of work, as set forth below:

  • Stop Work Order (a) NYSERDA may at any time, by written Order to the Contractor, require the Contractor to stop all or any part of the Work called for by this Agreement for a period of up to ninety (90) days after the Stop Work Order is delivered to the Contractor, and for any further period to which the parties may agree. Any such order shall be specifically identified as a Stop Work Order issued pursuant to this Section. Upon receipt of such an Order, the Contractor shall forthwith comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the Work covered by the Order during the period of work stoppage consistent with public health and safety. Within a period of ninety (90) days after a Stop Work Order is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, NYSERDA shall either:

  • Xxxxx of Work The Contractor shall provide information technology (IT) independent verification and validation (IV&V) services to Customers in accordance with this Statement of Work (SOW). The Contractor shall provide the professional and technical staff necessary to perform the ((IT) IV&V services required by this Contract, and the staff shall have sufficient skill and experience to perform the services assigned to them. All of the (IT) IV&V services to be furnished by the Contractor under the Contract shall meet the professional standard and quality that prevail among IT professionals in the same discipline and of similar knowledge and skill engaged in related work under the same or similar circumstances. The Contractor shall maintain during the term of the Contract all licenses, permits, qualifications, insurance, and approvals of whatever nature that are legally required to perform the (IT) IV&V services.

  • Service Orders The Customer must place an Application for Service with the Company to initiate, cancel or change the Services provided pursuant to these Rates, Terms and Conditions. Applications for Services may be either in writing or orally and provide, at a minimum, the following information:

  • Statements of Work 2.2 Each Statement of Work shall be agreed in the following manner:

  • Software License Terms (a) Software that is made available by a Provider to Recipient in connection with any Service (any such Software being referred to herein as “TSA-Licensed Software”) provided hereunder will be subject to the terms set forth in this Section 3.5 except as otherwise provided in the applicable Service Schedule. The Provider hereby grants to the Recipient a non-exclusive, non-transferable license to use, in object code form, any TSA-Licensed Software that is made available by the Provider pursuant to a Service Schedule. For the avoidance of doubt, the Provider that makes available any TSA-Licensed Software in connection with the provision of any Service retains the unrestricted right to enhance or otherwise modify such TSA-Licensed Software at any time, provided that such enhancements or other modifications do not disrupt the provision of such Service to the Recipient.
