Target Information. The information relating to Target and its Subsidiaries that is provided by Target or its representatives for inclusion in the Proxy Statement and the Form S-4, or in any application, notification or other document filed with any other Regulatory Agency or other Governmental Entity in connection with the transactions contemplated by this Agreement, will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in light of the circumstances in which they are made, not misleading. The portions of the Proxy Statement relating to Target will comply in all material respects with the provisions of the Exchange Act and the rules and regulations thereunder.
Target Information. Target has supplied the financial and other information in accordance with clause 7.3 of the BIA.
Target Information. Target has made or will make available to the Acquiring Company all information that Target has available (including all tax returns, financial statements given to any other person, contracts, payroll schedules, financial books and records, and all other information regarding Target, its business, its customers, its management, and its financial condition which the Acquiring Company may have requested (all such information being referred to herein as the "Target Information"). As of their respective dates, the Target Information did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.
Target Information. Target Information. The Parties acknowledge and agree that the “Alnylam Target Information” is and will remain Alnylam’s confidential, proprietary information; and that the “Merck Target Information” is and will remain Merck’s confidential, proprietary information. The Alnylam Target Information and the Merck Target Information are defined, collectively, as the “Target Information.”
Target Information. If there has been a Prior Stockholder Approval Conclusion, Target shall promptly provide to Purchaser correct, complete and current information (“Target Information”) regarding the Target (as “the company being acquired”) that would be required in the Information Statement. The Target Information shall be updated so that it is correct, complete, and current prior to any filing of the Information Statement. Within ten (10) days of the receipt of any comments from the Commission regarding the Target Information, Target shall provide Purchaser with a response to such comments as well as any, revisions, as applicable to the Target Information for inclusion in the Information Statement (which revisions shall include any restatements of Financial Statements and Balance Sheets that may result from such comments). Target (i) will use commercially reasonable efforts to provide within 30 days of the end of a fiscal quarter of Target to and (ii) will within 45 days of the end of a fiscal quarter of Target, provide the financial information that would be required by Item 17(b)(8) of Form S-4 if the Registration Statement were to be filed 46 days (assuming the 45th and 46th days are Business Days) after the end of such quarter.
Target Information. The information relating to Target and its Subsidiaries to be provided by Target to be contained in the Proxy Materials will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements herein or therein, in light of the circumstances in which they are made, not misleading. The Proxy Materials (except for the portions thereof relating solely to WAL or any of its Subsidiaries, as to which Target makes no representation or warranty) will comply in all material respects with the provisions of the Exchange Act and the rules and regulations thereunder.

The information relating to Target and its Subsidiaries that is provided in writing by Target or its representatives specifically for inclusion or incorporation by reference in (i) the Proxy Statement/Prospectus, on the date it (or any amendment or supplement thereto) is first mailed to holders of Target Common Stock or at the time of the Target Meeting, (ii) the Registration Statement, when it or any amendment thereto becomes effective under the Securities Act, or (iii) any other document filed with any Governmental Entity in connection herewith, will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in light of the circumstances in which they are made, not misleading. The portions of the Proxy Statement/Prospectus relating to Target and its Subsidiaries will comply in all material respects with the applicable provisions of the Exchange Act and the applicable rules and regulations thereunder.
