Target Delivery Date. Subject to Tenant’s performance of its obligations under the Original Amended Lease, Landlord shall use commercially reasonable efforts to substantially complete the Fifth Amendment Tenant Improvements in accordance with the Fifth Amendment Final Plans and to deliver possession of the Second Expansion Premises to Tenant, on or before April 1, 2016 (such date, the “Fifth Amendment Target Delivery Date”). Landlord’s obligation to construct the Fifth Amendment Tenant Improvements shall not require Landlord to incur overtime costs or expenses nor the construction of any “Specialty Work” (defined in Subsection A.2.1 hereof).

The term of this Lease and the obligations of the parties hereto shall commence on a date (hereinafter referred to as the “Commencement Date”) which shall be the sooner of (a) the date Tenant commences operation of its business in all or any portion of the Premises; or (b) the date that the Leasehold Improvements have been “Substantially Completed” (as defined in Subsection 3.1.3 below).
Target Delivery Date. If Landlord fails to Deliver the Premises on or before the Target Delivery Date, or if Landlord’s Work is not Substantially Completed on or before the Target Substantial Completion Date, except as otherwise expressly provided herein, Landlord shall not be liable to Tenant for any loss or damage resulting therefrom and this Lease shall not be void or voidable.
