System Specifications. 12.1 Subject to federal and State law and the rules and regulations of the FCC and NYSPSC, and subject to the System’s capability of providing the services and facilities prescribed in this Agreement, the technical design of the System serving the Village shall be at the option of Franchisee and as further described in this section.
12.2 All such construction and any subsequent maintenance, repair, or improvement of said System shall use materials of good and durable quality and shall be performed in a safe, workmanlike, thorough, and reliable manner.
12.3 Franchisee’s System shall provide for a minimum channel capacity of not less than 80 channels on the effective date of this Agreement. In accordance with the requirements of the NYSPSC, the exercise of this Agreement shall include reasonable efforts in good faith to maximize the number of energized channels available to subscribers, subject to the rights and obligations granted and imposed by Federal law and regulation, and to the extent economically reasonable and commercially practicable, including Franchisee’s right to consider the business impact of such actions.
12.4 The System shall incorporate equipment capable of providing standby powering of the System so as to minimize Area Outages caused by interruption of power furnished by the utility company. The standby powering equipment shall provide for automatic cut-in upon failure of the AC power and automatic reversion to the AC power upon resumption of AC power service. The equipment also shall be so designed as to prevent the standby power source from powering a “dead” utility line.
12.5 The design and construction of the System will include substantial utilization of fiber optic technology.
12.6 The System shall be so designed as to enable Franchisee to provide Cable Service throughout the territorial limits of the Village. The System shall be so constructed so as to be capable of providing Cable Service to all residential housing units throughout the territorial limits of the Village, subject to the provisions of Section 15.1. The Franchisee shall design the System to be able to offer Cable Service to any commercial or business customer that Franchisee is authorized to serve, subject to the provisions of Section 15.1(b).
System Specifications. The initial specifications for the System are attached to the Master Agreement as Exhibit B. Silver Spring will create detailed specifications for the System based on such initial Specifications and deliver such specifications to ComEd for its review. Silver Spring will incorporate Com Ed’s comments regarding such specifications and deliver further revised specifications to ComEd. After ComEd’s acceptance of such revised specifications, each Party’s Designated Representative shall sign such specifications, which shall be deemed the Specifications under the Master Agreement and attached to the Master Agreement. Such Specifications shall be finalized before Optimization of the first Optimization Area. After Optimization of each Optimization Area, the Parties shall review the Specifications and make any changes that are agreed upon by the Parties or reasonably requested by ComEd and update Attachment 6 hereto accordingly.

System Specifications a) Rentcheck shall be responsible for maintaining all Rentcheck computer hardware, software and internal data networks. Member will be responsible for the availability and performance of any such leased lines and modems, in addition to Member's network systems.
b) In the event that system changes are required, for either Rentcheck or Member, the parties will adopt testing procedures of any revised or updated process upon mutually agreeable terms.
System Specifications. 11.1 Subject to FCC and PSC regulations, policies, and standards, and subject to the cable communication systems’ capability of providing the services and facilities prescribed in this franchise, the technical design of the cable communications system serving the Municipality shall be at the option of the Franchisee and as further described in this section.
11.2 The Franchisee shall maintain its systems subject to the conditions as follows:
a) the Franchisee shall be subject to maintaining the following customer service standards:
I. Trained company representatives will be available to answer telephone inquiries twenty four hours a day, seven days a week, three hundred and sixty five days per year.
II. Under normal operating conditions, telephone answer time, including wait time, shall not exceed thirty (30) seconds when the connection is made. These standards shall be met no less than ninety (90) percent of the time under normal operating conditions, measured on a quarterly basis.
III. The operator will not be required to measure compliance with answering standards referenced in 11.2.II unless a historical record of complaints evidences a clear failure to comply.
IV. Under normal operating conditions, installation, outage and service call standards will be met no less than ninety-five percent (95%) of the time measured on a quarterly basis.
i. Standard installations, meaning those aerial drops 175 feet or less under 125 feet from the existing distribution system and buried connections 150 feet or less from the existing distribution system, will be performed within seven (7) business days or as negotiated with the customer.
ii. Excluding conditions beyond the operator’s control, work on service interruptions will begin no later than 24 hours after the problem occurs.
iii. Time blocks for installation services must not exceed a four hour window during normal business hours.
iv. The operator must not cancel an appointment with a customer after the close of business on the business day prior to the scheduled appointment other than in the event of circumstances beyond the operator’s control.
V. Customers will be notified in writing of any changes in rates or programming services with at least thirty (30) day notice other than an event outside of the control of the operator.

System Specifications. If either party wishes to amend or modify the agreed-upon specifications relating to the Jukebox, such party shall specify the desired change in writing to the other party. Each party agrees not to unreasonably withhold its approval of any suggested change. Bose and TouchTunes shall each have the right to approve the acoustical performance of the Jukebox, prior to the initiation by Bose of manufacturing of the Jukebox.

The Customer shall ensure that its network and systems comply with the relevant reasonable specifications provided by Hofy from time to time in order to enable access to the Platform. The Customer shall be solely responsible for procuring and maintaining its network connections and telecommunications links from its systems to Hofy's data centres.
