System Integrator. The Customer acknowledges that HGC may sub-contract to a System Integrator the installation and system integration work and the troubleshooting work respectively referred to in Clauses 3c and 9b(i) above. For the avoidance of doubt, any work beyond the scope of (i) the work itemized in Clause 3c above and (ii) those trouble-shooting work referred to in Clause 9b(i) above which any System Integrator might undertake for any Customer will be work carried out by that System Integrator as principal and HGC shall have no responsibility and shall in no way be liable for such work or any claims, damage, liabilities or obligations that may arise therefrom.
System Integrator. The System Integrator (SI) provides general engineering expertise, which may overlap with the Communications Engineer, but generally is less specific to the discipline of communications. The SE shall have considerable (preferably a minimum of ten (10) years) experience in systems engineering-related development and hold at least a Bachelor’s degree in systems engineering, electronics engineering, communications engineering, or equivalent. Areas of expertise shall include requirements analysis, system analysis, reliability and availability analysis, including integration of LMR and CAD/AVL systems. The System Integrator shall have reporting relationship on all matters to the District’s Project Manager. • Identify any other Key Personnel who will be responsible for the work, with their respective qualifications and experience.
System Integrator. The Contractor shall serve as the integrator for the delivery, installation, and implementation of the entire System. The Contractor shall identify for the Department an individual who will be the single point of contact for all System issues during its delivery, installation, implementation, and deployment.
System Integrator shall periodically update the Source Code of the application and shall maintain updated copy of the Source Code of the software in this server through versioning software. The System Integrator shall also update & label the source code after each release or as per the request of Education Department, Himachal Pradesh or its nominated agencies. The administrative control of this server shall rest with Education Department, Himachal Pradesh or its nominated agencies only. The System Integrator shall also duly inform Education Department, Himachal Pradesh or its nominated agencies in writing whenever such an update is carried out by them. In addition to other usual and customary terms Agreement shall provide that the ‘Education Department, Himachal Pradesh’ shall be entitled to use the Source Code and all updated versions of the same.

  • GENERAL SERVICE DESCRIPTION Service Provider currently provides active medical, pharmacy(Rx) and dental administration for coverages provided through Empire and Anthem (medical), Medco(Rx), MetLife(dental) and SHPS (FSA) (Empire, Anthem, Medco, MetLife and SHPS collectively, the “Vendors”) for its U.S. Active, Salaried, Eligible Employees (“Covered Employees”). Service Provider shall keep the current contracts with the Vendors and the ITT CORPORATION SALARIED MEDICAL AND DENTAL PLAN (PLAN NUMBER 502 EIN 00-0000000) and the ITT Salaried Medical Plan and Salaried Dental Plan General Plan Terms (collectively, the “Plans”) and all coverage thereunder in full force through December 31, 2011 for Service Recipient’s Covered Employees. All claims of Service Recipient’s Covered Employees made under the Plans and incurred on or prior to December 31, 2011 the (“2011 Plan Year”) will be adjudicated in accordance with the current contract and Service Provider will continue to take such actions on behalf of Service Recipient’s Covered Employees as if such employees are employees of Service Provider. All medical, dental, pharmacy and FSA claims of Service Recipient’s Covered Employees made under the Plans (the “Claims”) will be paid by the Vendors on behalf of the Service Provider. Service Recipient will pay Service Provider for coverage based on 2011 budget premium rates previously set for the calendar year 2011 and described in the “Pricing” section below. Service Recipient will pay Service Provider monthly premium payments for this service, for any full or partial months, based on actual enrollment for the months covered post-spin using enrollments as of the first (1st) calendar day of the month, commencing on the day after the Distribution Date. Service Recipient will prepare and deliver to Service Provider a monthly self xxxx containing cost breakdown by business unit and plan tier as set forth on Attachment A, within five (5) Business Days after the beginning of each calendar month. The Service Recipient will be required to pay the Service Provider the monthly premium payments within ten (10) Business Days after the beginning of each calendar month. A detailed listing of Service Recipient’s employees covered, including the Plans and enrollment tier in which they are enrolled, will be made available to Service Provider upon its reasonable request. Service Provider will retain responsibility for executing funding of Claim payments and eligibility management with Vendors through December 31, 2013. Service Provider will conduct a Headcount True-Up (as defined below) of the monthly premiums and establish an Incurred But Not Reported (“IBNR”) claims reserve for Claims incurred prior to December 31, 2011 date, but paid after that date, and conduct a reconciliation of such reserve. See “Headcount True-Up” and “IBNR Reconciliation” sections under Additional Pricing for details.

  • No Integration The Company shall not make any offers or sales of any security (other than the Securities) under circumstances that would require registration of the Securities being offered or sold hereunder under the 1933 Act or cause the offering of the Securities to be integrated with any other offering of securities by the Company for the purpose of any stockholder approval provision applicable to the Company or its securities.

  • Monitoring System In each case in which the Custodian has exercised delegated authority to place Assets with a Foreign Custodian, the Custodian shall establish a system, to re-assess or re-evaluate selected Foreign Custodians, at least annually in accordance with Rule 17f-5(c)(3).

  • PFPC System PFPC shall retain title to and ownership of any and all data bases, computer programs, screen formats, report formats, interactive design techniques, derivative works, inventions, discoveries, patentable or copyrightable matters, concepts, expertise, patents, copyrights, trade secrets, and other related legal rights utilized by PFPC in connection with the services provided by PFPC to the Fund.
