System Files. All system files, including SQL Server database files and transaction logs, used by an Appliance must reside on either the Appliance or an external storage device purchased from LogRhythm (“Supported Equipment”). If Customer moves the systems files to any equipment not purchased from LogRhythm then (a) this Agreement, including the license to the Software granted in Section 2.1, shall automatically terminate and (b) LogRhythm’s Support Services obligations to Customer shall automatically terminate. Customer will not be entitled to a refund for any fees paid to LogRhythm for such terminations. Notwithstanding the foregoing, system files do not include LogRhythm archive files.

Except as expressly permitted by this Agreement, Customer will not: (a) modify, adapt, alter, translate, or create derivative works from the Software, LogRhythm UEBA Services or Documentation; (b) rent, lease, loan, sublicense, distribute, sell or otherwise transfer the Software, LogRhythm UEBA Services or Documentation to any third party; (c) use the Software or LogRhythm UEBA Services in any service bureau or time sharing or hosting arrangement; (d) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for the Software or LogRhythm UEBA Services (except, as provided by statute which cannot be exclude d by this Agreement of the parties, for the purpose of integration with other software used by Customer, provided that Customer first gives LogRhythm the opportunity to provide the information needed to achieve the integration or to carry out such work for a reasonable commercial fee); (e) otherwise use or copy the Software, LogRhythm UEBA Services or Documentation except as expressly permitted this Agreement; or (f) disclose to any third party the results of any benchmark tests or other evaluation of the Software or LogRhythm UEBA Services. If Customer will utilize the LogRhythm UEBAServices for any purpose other than the detection, mitigation, containment, and eradication of cyberthreats, Customer is responsible for providing notice to, and obtaining consents from, individuals as required by applicable law.

  • Database File The Servicer will provide the Successor Servicer with a magnetic tape (in a format reasonably acceptable to the Indenture Trustee and the Servicer) containing the database file for each Contract (i) as of the Initial Cutoff Date, (ii) the Subsequent Cutoff Date, (iii) thereafter, as of the last day of the preceding Due Period on each Determination Date prior to a Service Transfer and (iv) on and as of the Business Day before the actual commencement of servicing functions by the Successor Servicer following the occurrence of a Service Transfer.

  • Records and Files The CNA shall maintain records, reports, and files to document the inspections conducted by the CNA and any necessary corrective action taken (as appropriate). Copies of all QCP related inspection reports and other documents shall be made available to the Commission when requested. All such documents shall be maintained by the CNA.

  • Receivable Files Complete There exists a Receivable File pertaining to each Receivable. Related documentation concerning the Receivable, including any documentation regarding modifications of the Contract, will be maintained electronically by the Servicer in accordance with customary policies and procedures. With respect to any Receivables that are tangible chattel paper, the complete Receivable File for each Receivable currently is in the possession of the Custodian.

  • Receivable Files The Servicer has in its possession all original copies of documents or instruments that constitute or evidence the Receivables. The Receivable Files that constitute or evidence the Receivables do not have any marks or notations indicating that they have been pledged, assigned or otherwise conveyed by the Seller to any Person other than the Depositor, except for such Liens as have been released on or before the Closing Date. All financing statements filed or to be filed against the Seller in favor of the Depositor in connection herewith describing the Receivables contain a statement to the following effect: “A purchase of or security interest in any collateral described in this financing statement, except as provided in the Receivables Purchase Agreement, will violate the rights of the Depositor.”

  • Computer Files Marked The Seller shall, at its own expense, on or before the Closing Date, indicate in its computer files that the Receivables have been sold to the Purchaser pursuant to this Receivables Purchase Agreement and deliver to the Purchaser the Receivable Schedule, certified by an officer of the Seller to be true, correct and complete.

  • Research Records Each Party shall maintain records of each Research Program (or cause such records to be maintained) in sufficient detail and in good scientific manner as will properly reflect all work done and results achieved by or on behalf of such Party in the performance of such Research Program. All laboratory notebooks shall be maintained for no less than the term of any Patent issuing therefrom. All other records shall be maintained by each Party during the relevant Research Term and for [**] thereafter. All such records of a Party shall be considered such Party’s Confidential Information.

  • Patient Records Upon termination of this Agreement, the New PC shall retain all patient dental records maintained by the New PC or the MSO in the name of the New PC. During the term of this Agreement, and thereafter, the New PC or its designee shall have reasonable access during normal business hours to the New PC's and the MSO's records, including, but not limited to, records of collections, expenses and disbursements as kept by the MSO in performing the MSO's obligations under this Agreement, and the New PC may copy any or all such records.
