SUSPENSION & TERMINATION FOR DEFAULT. Enterprise Services may suspend Contractor’s operations under this Master Contract immediately by written cure notice of any default. Suspension shall continue until the default is remedied to Enterprise Services’ reasonable satisfaction; Provided, however, that, if after thirty (30) days from such a suspension notice, Contractor remains in default, Enterprise Services may terminate Contractor’s rights under this Master Contract. All of Contractor’s obligations to Enterprise Services and Purchasers survive termination of Contractor’s rights under this Master Contract, until such obligations have been fulfilled.

Contractor may be required to submit a written cure plan within five (5) business days of Suspension notification. Suspension shall continue until the default is remedied to Enterprise Services’ reasonable satisfaction; Provided, however, that, if after thirty (30) days from such a suspension notice, Contractor remains in default, Enterprise Services may terminate Contractor’s rights under this Cooperative Purchasing Master Agreement. All of Contractor’s obligations to Enterprise Services and Purchasing Entity survive termination of Contractor’s rights under this Cooperative Purchasing Master Agreement, until such obligations have been fulfilled.

All of Contractor’s obligations to Enterprise Services and Purchasers survive termination of Contractor’s rights under this regional Statewide Contract, until such obligations have been fulfilled.

All of Contractor’s obligations to OSOS survive termination of Contractor’s rights under this Contract, until such obligations have been fulfilled.

In the event the Master Contract is terminated or suspended under this Section, any ongoing obligations of Contractor and Purchaser to each other under their relevant Purchaser Order may be addressed in the relevant Purchase Order between those parties.

Suspension shall continue until the default is remedied to OPCG’s reasonable satisfaction; Provided, however, that, if after thirty (30) days from such a suspension notice, Vendor remains in default, OPCG may terminate Vendor’s rights under this Master Contract. All of Vendor’s obligations to OPCG and Users survive termination of Vendor’s rights under this Master Contract, until such obligations have been fulfilled.
