Common use of Suspension or Termination of Services Clause in Contracts

Suspension or Termination of Services. Provider may, directly or indirectly, and by use of a Provider Disabling Device or any other lawful means, suspend, terminate or otherwise deny Customer’s, any Authorized User’s or any other Person’s access to or use of all or any part of the Services or Provider Materials, without incurring any resulting obligation or liability, if: (a) Provider receives a judicial or other governmental demand or order, subpoena or law enforcement request that expressly or by reasonable implication requires Provider to do so; or (b) Provider believes, in its discretion, that: (i) Customer or any Authorized User has failed to comply with, any term of this Agreement, or accessed or used the Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any instruction or requirement of the Specifications; (ii) Customer or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading or unlawful activities; or (iii) this Agreement expires or is terminated. This Section 2.6 does not limit any of Provider’s other rights or remedies, whether at law, in equity or under this Agreement.

Provider may, directly or indirectly, and by use of a Provider Disabling Device or any other lawful means, suspend, terminate terminate, or otherwise deny Customer’saccess to, any Authorized User’s or any other Person’s access to or use of of, all or any part of the Services or Provider MaterialsMaterials by Customer, any Authorized User or any other Person, without incurring any resulting obligation or liability, if: (a) Provider receives a judicial or other governmental demand or order, subpoena or law enforcement request Governmental Order that expressly or by reasonable implication requires Provider to do so; or (b) Provider believes, in its good faith and reasonable discretion, that: (i) Customer or any Authorized User has failed to comply with, any material term of this Agreement, or accessed or used the Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any material instruction or requirement of the Specifications; , (ii) Customer or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading misleading, or unlawful activities; activities relating to or (iii) this Agreement expires or is terminated. This Section 2.6 does not limit in connection with any of Provider’s other rights or remediesthe Services, whether at law, in equity or under this Agreement.or

Provider CUE may, directly or indirectly, and by use of a Provider Disabling Device through disabling technology or any other lawful legal means, suspend, terminate terminate, or otherwise deny Customer’s, any Authorized User’s ’s, or any other Personperson’s access to or use of all or any part of the Services or Provider MaterialsServices, without incurring any resulting obligation or liability, if: (a) Provider CUE receives a judicial or other governmental demand or order, subpoena subpoena, or law enforcement request that expressly or by reasonable implication requires Provider CUE to do so; or (b) Provider CUE believes, in its discretion, that: (i) Customer or any Authorized User has failed to comply with, with any term of this Agreement, or accessed or used the Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any instruction or requirement of the SpecificationsCUE; (ii) Customer or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading misleading, or unlawful activitiesactivities relating to or in connection with any of the Services; or (iii) this Agreement expires or is terminated. This Section 2.6 does not limit any of ProviderCUE’s other rights or remedies, whether at law, in equity equity, or under this Agreement.

This Section 2.6 3.4 does not limit any of Provider’s other rights or remedies, whether at law, in equity or under this Agreement.

This Section 2.6 2.5 does not limit any of Provider’s 's other rights or remediesremedies whatsoever, whether including any rights or remedies at law, in equity or under this Agreement.

This Section 2.6 2.7 does not limit any of the Provider’s 's other rights or remedies, whether at lawLaw, in equity or under this Agreement.

Suspension or Termination of Services. Provider Circadiance may, directly or indirectly, and by use of a Provider Disabling Device or any other lawful means, suspend, terminate or otherwise deny CustomerSubscriber’s, any Authorized System User’s, Associate’s or any other Person’s access to or use of all or any part of the Services or Provider MaterialsServices, without incurring any resulting obligation or liability, if: (a) Provider Circadiance receives a judicial or other governmental demand or order, subpoena or law enforcement request that expressly or by reasonable implication requires Provider Circadiance to do so; or (b) Provider Circadiance believes, in its sole discretion, that: (i) Customer Subscriber, any System User or any Authorized User Associate has failed to comply with, any material term of this Agreement, or accessed or used the Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any material instruction or requirement of the Specificationsrequirement; (ii) Customer Subscriber, any System User or any Authorized User Associate is, has been, or is likely to be involved in any fraudulent, misleading or unlawful activities; or (iii) this Agreement expires or is terminated. This Section 2.6 does not limit any of ProviderCircadiance’s other or Subscribers rights or remedies, whether at law, in equity or under this Agreement.

This Section 2.6 2.7 does not limit any of Provider’s other rights or remedies, whether at lawLaw, in equity or under this Agreement.
